RECITALS

To the extent of any conflict between the terms of this Amendment and the Original Policy, the terms of this Amendment shall control. The Parties expressly agree that only those provisions expressly modified by this Amendment shall be affected.

2. AMENDMENT TYPE AND SCOPE

5. CONTINUING EFFECT; NO OTHER MODIFICATION

5.1 Continuing Effect. Except as expressly modified by this Amendment, all terms, covenants and conditions of the Original Policy shall remain unchanged and in full force and effect.

5.2 Conflicting Provisions. If any provision of the Original Policy conflicts with this Amendment, the terms of this Amendment shall prevail to the extent of the conflict.

This Amendment shall be governed by and construed in accordance with the laws of the State of , without regard to choice of law principles.

8. ENTIRE AGREEMENT

This Amendment, together with the Original Policy as modified hereby, constitutes the entire agreement between the Parties with respect to the subject matter hereof and supersedes all prior negotiations, understandings, and agreements between the Parties relating thereto.

9. SEVERABILITY

If any provision of this Amendment is held to be invalid, illegal or unenforceable in any respect, the remainder of this Amendment shall remain in full force and effect and shall be construed so as to best effectuate the Parties' intent.

10. AMENDMENTS; WAIVER

No amendment, modification or waiver of any provision of this Amendment shall be effective unless in writing and signed by authorized representatives of both Parties. The failure of either Party to enforce any provision shall not constitute a waiver of that provision or any other provision.

11. COUNTERPARTS; EXECUTION

This Amendment may be executed in counterparts, each of which shall be deemed an original and all of which together shall constitute one and the same instrument. Signatures exchanged by electronic image or facsimile shall be binding as originals.
