For purposes of this Declaration, the following terms have the meanings ascribed below: "Declaration" means this instrument and any exhibits attached hereto; "Declarant" means the individual identified above submitting this political declaration; "Receiving Entity" means the recipient identified above; "Disclosures" means the information provided under Section 3 below.

Receiving Entity shall exercise reasonable care in maintaining records but shall have no liability for penalties imposed by third-party authorities arising from Declarant's noncompliance.

5. USE, PUBLICATION AND RETENTION

By executing this Declaration, Declarant grants Receiving Entity the non-exclusive right to retain, reproduce, distribute, and publish the Declaration and Disclosures in connection with public notice, official records, or informational dissemination, except as limited by explicit restrictions set forth below.

6. REPRESENTATIONS AND WARRANTIES

Declarant represents and warrants that: (a) Declarant is legally competent to execute this Declaration; (b) the statements and disclosures provided are true, complete, and correct to the best of Declarant's knowledge; and (c) Declarant is not subject to any legal prohibition that would invalidate or restrict the making or publication of this Declaration.

7. INDEMNIFICATION

Declarant shall indemnify, defend and hold harmless Receiving Entity and its officers, agents and employees from and against all claims, liabilities, losses, costs and expenses (including reasonable attorneys' fees) arising out of or relating to any breach of Declarant's representations, warranties, or obligations under this Declaration, or any claim that the disclosures or materials supplied by Declarant are false, misleading, defamatory or violate the rights of third parties.

8. TERM AND TERMINATION

This Declaration shall commence on the Effective Date and remain in effect until the later of: (a) the conclusion of the applicable election cycle; (b) the expiration of any retention period specified herein; or (c) termination upon written agreement of both parties. Receiving Entity may remove or redact information only as required by law or by mutual written agreement.

9. NOTICES

All notices, requests, consents and other communications required or permitted under this Declaration shall be in writing and delivered to the addresses set forth below or to such other address as either party may designate by notice in accordance with this Section.

10. AMENDMENTS AND WAIVER

No amendment, modification or waiver of any provision of this Declaration shall be effective unless in writing and signed by both parties. The failure of either party to enforce any provision shall not constitute a waiver of future enforcement of that or any other provision.

11. GOVERNING LAW

This Declaration shall be governed by and construed in accordance with the substantive laws of the jurisdiction in which the Receiving Entity is organized, without regard to its conflict of laws principles.

12. ENTIRE AGREEMENT

This Declaration constitutes the entire agreement between the parties with respect to the subject matter hereof and supersedes all prior and contemporaneous agreements, understandings and communications, whether written or oral.

13. SEVERABILITY

If any provision of this Declaration is held invalid or unenforceable by a court of competent jurisdiction, the remaining provisions shall remain in full force and effect and the invalid or unenforceable provision shall be reformed to the minimum extent necessary to make it valid and enforceable.

14. COUNTERPARTS

This Declaration may be executed in counterparts, each of which shall be deemed an original and all of which together shall constitute one and the same instrument. Signatures transmitted by electronic means shall be deemed originals for all purposes.
