LEGAL PORTRAIT CONTRACT

RECITALS

WHEREAS, Photographer is engaged in the business of providing professional portrait photography services and possesses all necessary skills, equipment and personnel to perform portrait services; and

WHEREAS, Client desires to retain Photographer to create, capture and deliver portrait images as described in this Agreement and Photographer desires to provide such services under the terms set forth below; and

WHEREAS, the parties intend by this Agreement to set forth the respective rights, obligations, usage permissions and compensation for the photography services and resulting photographic works (the Works).

NOW, THEREFORE, in consideration of the mutual covenants contained herein, and other good and valuable consideration, the receipt and sufficiency of which are hereby acknowledged, the parties agree as follows:

1. DEFINITIONS

1.1 "Works" means the photographic portraits captured by Photographer under this Agreement, including final edited digital files, prints and derivatives delivered to Client. 1.2 "Deliverables" means the number, format and technical specifications of the Works to be delivered as set forth in Section 3.

2. SERVICES & SCOPE

Photographer will provide portrait photography services on Shoot Date: at Location: . The session length is estimated at .

Photographer will provide the Deliverables described in Section 3 and shall use reasonable professional skill and care in capturing and editing the Works in accordance with industry standards.

3. DELIVERABLES, DELIVERY AND APPROVAL

3.1 Delivery: Photographer shall deliver proofs within from the Shoot Date. Final edited Works will be delivered within after selection of images by Client.

3.2 Approval: Client shall notify Photographer of any requested revisions within of delivery. Revisions beyond two rounds may be subject to additional fees.

4. COMPENSATION AND PAYMENT

4.1 Late Payment: Unpaid balances overdue by more than days shall accrue interest at or the maximum permitted by law.

5. RIGHTS, LICENSES AND OWNERSHIP

5.1 Copyright: Photographer retains all copyright and moral rights in the Works, subject to the license granted to Client in this Section. Photographer may register copyright in the Works.

5.2 License to Client: Upon full payment, Photographer grants Client a Non-Exclusive license and/or Exclusive license (select applicable) to use the Works for the following permitted uses: .

5.3 Limitations: The license excludes resale, sublicensing, or transfer of rights except as expressly provided. Any use beyond the permitted uses requires a separate written license and fee.

6. MODEL RELEASE AND CONSENT

6.1 Client hereby represents and warrants that Client has obtained all necessary consents from any person appearing in the Works for the uses contemplated by this Agreement. To the extent Photographer obtains releases, such releases shall be retained in Photographer's files and copies provided to Client upon request.

7. REPRESENTATIONS, WARRANTIES AND COVENANTS

7.1 Each party represents and warrants that it has full power and authority to enter into this Agreement and to perform its obligations. Client warrants that its instructions will not cause Photographer to infringe any third-party rights.

7.2 Photographer warrants that the Works will be original and created by Photographer and will not intentionally infringe on third-party copyrights.

8. INDEMNIFICATION

8.1 Client shall indemnify, defend and hold harmless Photographer from and against any claims, liabilities, damages and expenses (including reasonable attorneys' fees) arising from Client's breach of this Agreement, Client-provided content, or Client's use of the Works beyond the license granted.

8.2 Photographer shall indemnify Client for claims arising from Photographer's breach of the copyright warranty set forth in Section 7.2.

9. LIMITATION OF LIABILITY

Except for liability arising from gross negligence, willful misconduct or indemnification obligations, neither party's aggregate liability for any claim arising out of or related to this Agreement shall exceed the total fees paid by Client to Photographer under this Agreement.

10. TERM, TERMINATION AND CANCELLATION

10.1 Termination: Either party may terminate this Agreement upon material breach by the other if such breach is not cured within after written notice.

10.2 Cancellation by Client: If Client cancels the session less than prior to the Shoot Date, Client shall forfeit the retainer and may be responsible for additional fees for time and expenses incurred by Photographer.

11. CONFIDENTIALITY

Each party agrees to keep confidential all non-public business information and materials of the other party obtained in connection with this Agreement and not to disclose such information except as required by law or with the disclosing party's prior written consent.

12. NOTICES

All notices under this Agreement shall be in writing and delivered to the addresses below by hand, certified mail, or overnight courier and shall be deemed given upon receipt.

13. AMENDMENTS, WAIVER AND COUNTERPARTS

No amendment or waiver of any provision of this Agreement shall be effective unless in writing and signed by both parties. Waiver of any breach shall not constitute waiver of any subsequent breach. This Agreement may be executed in counterparts, each of which shall be deemed an original.

14. GOVERNING LAW; SEVERABILITY; ENTIRE AGREEMENT

14.1 Governing Law: This Agreement shall be governed by and construed in accordance with the laws of the State of , without regard to conflict of laws principles.

14.2 Severability: If any provision of this Agreement is held invalid or unenforceable, the remaining provisions shall remain in full force and effect.
