What the Legal Post Incorporation Binder Is

A Legal Post Incorporation Binder is a consolidated, organized set of corporate records compiled after a company forms as an LLC or corporation. It collects formation documents, bylaws or operating agreement, EIN and tax registrations, meeting minutes, initial resolutions, officer and director records, stock or membership ledgers, registered agent information, and any state filing receipts required for corporate governance and compliance.

Why a Post Incorporation Binder Matters for Compliance

Maintaining a complete post incorporation binder establishes a searchable single source of truth for governance, demonstrates compliance to regulators and investors, preserves evidence needed for audits and tax filings, and reduces legal risk from missing or inconsistent corporate records.

Why a Post Incorporation Binder Matters for Compliance

Typical Users and When They Rely on the Binder

The binder is used by founders, in-house counsel, CFOs, corporate secretaries, and external advisors immediately after formation and during the first year of operations.

  • Founders and executives who need organized proof of company formation and authority for contracts or bank accounts.
  • Corporate secretaries and legal teams that assemble and maintain governance records and meeting minutes.
  • Accountants and tax advisors who require EIN, state registrations, and historical filings to prepare returns.

A centralized binder reduces time spent retrieving documents and helps ensure consistent decision-making and compliance across stakeholders.

Authorized Signers and Responsible Parties

CEO

Typically signs organizational resolutions, banking authorizations, and major contracts. The CEO’s signature often evidences operational authority and should match the name in corporate minutes.

Corporate Secretary

Maintains the binder, executes minutes and attestations, and ensures records retention policies are followed for governance and compliance purposes.
