What a Legal Post-Petition Retainer Agreement Is

A Legal Post-Petition Retainer Agreement documents the engagement between counsel and a debtor or debtor-in-possession after a bankruptcy petition is filed. It specifies services to be provided for post-petition matters, payment and retainer handling, billing rates, expense allocation, and any court approval requirements that may apply during the bankruptcy case.

Why a Clear Post-Petition Retainer Matters

A precise post-petition retainer agreement reduces disputes, aligns expectations about fee sources and billing, and helps obtain the bankruptcy court employment and fee approvals that preserve professional fees and client protections.

Why a Clear Post-Petition Retainer Matters

Who Typically Prepares and Signs These Agreements

Parties that commonly use a post-petition retainer agreement include counsel for the debtor, the debtor organization itself, Chapter 11 or Chapter 7 trustees when retained, and secured creditors or official committees when counsel represents such parties.

  • Bankruptcy attorneys representing debtors or committees for post-petition services, expense reimbursement, and fee applications.
  • Corporate debtors or debtor-in-possession officers approving contract terms and funding arrangements.
  • Trustees or creditors who retain counsel post-petition to represent estate interests or contested matters.

All signers should understand which fees require court approval, how retainers will be held or escrowed, and what notice or application is needed to obtain employment authorization from the bankruptcy court.

Representative Signatories and Their Roles

Debtor Counsel

Lead attorney responsible for defining scope, billing rates, retainer application, and filing any required employment application with the bankruptcy court; expects clear authorization for post-petition services and reimbursement policy.

Chapter Representative

Debtor-in-possession officer or trustee who approves the engagement, confirms retention source and funding, and files notices or motions required by local bankruptcy rules to secure court approval.

Core Clauses to Include in the Agreement

A professional post-petition retainer agreement groups essential terms so parties and the court can quickly assess the engagement and any required approvals.

Scope of Services

Describe post-petition legal services precisely — contested matters, adversary proceedings, plan negotiation, asset sales — to avoid scope disputes and to support any later fee applications to the bankruptcy court.

Retainer Handling

Specify whether the retainer will be an earned retainer, held in counsel trust account, or turned over to the estate; state whether funds will be credited against fees or held subject to court order.

Billing and Rates

List hourly rates for attorneys and paraprofessionals, expense categories, billing cycle, and any blended or capped fees to provide transparency for parties and the bankruptcy judge reviewing fee requests.

Fee Approval

Include the requirement to file an application for employment and fees under 11 U.S.C. §330 or §327 as appropriate and explain the notice and hearing process in the relevant bankruptcy court.

Termination and Assignment

State termination rights, effects on outstanding invoices and retainer disposition, and whether counsel may seek court approval to withdraw from the engagement if issues arise.

Conflicts and Privacy

Disclose known conflicts, describe steps for conflict resolution and address confidential information handling consistent with professional conduct rules and any applicable privacy laws.

Step-by-Step: Completing a Post-Petition Retainer Agreement

Follow a clear sequence to prepare, approve, sign, and submit the retainer agreement to reduce delays and meet any local bankruptcy procedures.

  • 01
Draft Terms: Detail scope, retainer handling, rates, and termination in writing.
  • 02
Client Review: Have the debtor or representative review and approve fee source and payment terms.
  • 03
Execute Signatures: Obtain authorized signatures and dates from all required parties.
  • 04
File or Notice: File an employment application or serve required notices per local bankruptcy rules.

How to Configure an Electronic Signing Workflow

Set up a digital workflow that captures consent, identity, and an audit trail acceptable to courts and regulators.

An efficient e-signing sequence ensures identity, intent, and a reproducible record that supports legal enforceability.

  • Upload Document: Import the retainer agreement as a PDF or DOCX file.
  • Place Fields: Insert signature, initial, date, and text fields in required locations.
  • Send to Signer: Deliver via secure email link, with optional code authentication.

Motion to Employ:

File an employment application per local rules as soon as practicable after retention

Interim Billing:

Follow local practice for interim fee requests and monthly reporting to the U.S. Trustee

Final Fee Application:

File final fee application when services conclude or according to court scheduling

Record Retention:

Keep all invoices and retainer accounting for the statutory retention period

Key Milestones in a Post-Petition Engagement

A typical sequence helps stakeholders track court notices, employment approval, and fee review steps.

01

Agreement Execution

Parties sign the retainer and retain funds or document payment arrangement.

02

File Employment Motion

Counsel files for employment authorization with the bankruptcy court and serves required parties.

03

Interim Reporting

Submit interim fee reports or statements if required by the court or U.S. Trustee.

04

Final Fee Approval

File and litigate, if necessary, the ultimate fee application for allowance and payment.

Common Pitfalls to Avoid

  • Failing to specify retainer disposition creates disputes about whether funds are estate property and delays court approval of employment.
  • Using vague scope language such as 'all necessary services' leads to billing disagreements and objections at fee hearings.
  • Not identifying the fee source — debtor, DIP financing, or estate — can prevent payment and trigger U.S. Trustee inquiries.
  • Skipping required notices or local-rule attachments for employment motions often leads to continuances and additional litigation costs.

Consequences of Deficient or Incorrect Agreements

Fee Disallowance: Court may reduce or deny fee requests
Sanctions Risk: Possible court sanctions for nondisclosure
Trust Accounting Errors: Misapplied retainers can trigger ethical inquiries
Payment Delay: Unclear retainer terms delay compensation
Creditor Objections: Creditors may object to fee source or reasonableness
Malpractice Exposure: Ambiguous duties can increase malpractice claims

Real-World Examples and Customer Experiences

Representative examples show how firms use clear retainer language to speed approvals and reduce disputes.

Optica Ventures, COO

A small investment firm standardized its post-petition retainers to clarify billing and escrow handling

  • staff trained on electronic workflows for consistency
  • The interface was simple for staff and clients, and execution time for agreements fell markedly after standardization.

Fertility Centers Founder

A healthcare provider added HIPAA addenda and escrow language to retainers

  • counsel defined billing for regulatory matters separately
  • The firm reported improved compliance with privacy obligations and fewer billing disputes following template adoption.

Practical Tips for Drafting and Executing Retainer Agreements

Adopt consistent templates and review them for local court and trustee expectations to reduce friction when seeking employment and fee approval.

Be Precise About Retainer Uses
Specify whether the retainer is earned upon receipt, applied against future fees, or held in trust; this clarity reduces later disputes and supports court review.
Document Fee Sources
State whether fees are paid by the debtor, DIP financing, a creditor or committee, and include any required lender consents to prevent funding objections.
Coordinate with the U.S. Trustee
Follow applicable U.S. Trustee guidance and local rules for interim reporting and billing formats to avoid procedural objections at fee hearings.
Preserve an Audit Trail
Retain signed PDFs and electronic audit data showing identity, timestamps, and actions to support admissibility and court review.
