LEGAL PRACTICE AGREEMENT

This Legal Practice Agreement (the Agreement) is entered into on this day of , by and between Client Name: , Client Address: (hereinafter "Client"), and Law Firm Name: , Firm Address: (hereinafter "Firm").

RECITALS

WHEREAS, Client desires to engage Firm to provide legal services described herein and Firm is willing to provide such services under the terms and conditions of this Agreement; and

WHEREAS, Firm represents that it is duly authorized, licensed and equipped to provide legal services in the subject matter described below and that no professional or ethical impediment prevents it from acting for Client in the matters to be undertaken; and

WHEREAS, the parties wish to set forth their respective rights and obligations with respect to the engagement and the provision of services.

NOW, THEREFORE, in consideration of the mutual covenants contained herein, and other good and valuable consideration, the receipt and sufficiency of which are hereby acknowledged, the parties agree as follows:

1. ENGAGEMENT

Client hereby retains Firm, and Firm accepts such retention, to render legal services as set forth in Section 2. Firm will act as Client's legal counsel only for the matters expressly described in this Agreement and will not assume any obligation to represent Client in other matters unless explicitly agreed in writing.

2. SCOPE OF SERVICES

Firm shall provide legal services consisting of the following: initial consultation, legal research, pleadings and filings, negotiation, and representation at hearings and related tasks as reasonably necessary to pursue the objectives described below.

3. FEES, RETAINER AND PAYMENT

Client agrees to pay Firm for legal services at the hourly rates, flat fees, or contingency terms set forth below. All fees shall be billed in accordance with Firm's standard billing practices.

Flat fee of $ for the engagement described in Section 2.

Firm shall apply the retainer to future invoices and will provide Client with monthly statements showing hours, fees, expenses, payments and the balance of any retainer. Client shall replenish any retainer to maintain a balance sufficient to cover anticipated fees and expenses.

4. EXPENSES

Client shall reimburse Firm for all out-of-pocket expenses reasonably incurred in connection with the representation, including but not limited to filing fees, court costs, process service, deposition and transcript costs, expert fees, travel expenses, courier and copying charges. Expenses in excess of $ shall require prior Client approval.

5. CLIENT COOPERATION

Client agrees to cooperate fully with Firm, to provide all information and documents reasonably necessary for Firm's performance, to attend meetings and proceedings when requested, and to respond promptly to Firm's communications. Failure to cooperate may be grounds for withdrawal or termination pursuant to Section 8.

6. CONFIDENTIALITY AND PRIVILEGE

All information exchanged between Client and Firm in the course of the representation shall be subject to attorney-client privilege and maintained confidentially, except as disclosure is authorized by Client, required by law, or necessary to carry out the representation. Firm may take reasonable steps to preserve confidentiality of electronic communications and records.

7. CONFLICTS OF INTEREST

By signing below, Client represents that Client has disclosed to Firm all known facts that might give rise to a conflict of interest. If a conflict subsequently arises, Firm shall advise Client and, where required, obtain informed consent or decline or withdraw from representation in accordance with applicable professional rules.

8. TERM; TERMINATION

This Agreement shall commence on the Effective Date and continue until the conclusion of the matters described in Section 2, unless earlier terminated. Either party may terminate this Agreement upon written notice to the other. Upon termination, Client shall pay for all fees and expenses incurred up to the date of termination and any reasonable costs of transition.

9. FILES AND RECORDS

Firm shall retain Client files in accordance with Firm's document retention policies and applicable law. Unless otherwise agreed, original physical documents shall be returned to Client on request; Firm may retain copies. Client authorizes Firm to destroy closed matter files after a commercially reasonable retention period.

10. LIMITATION OF LIABILITY

To the fullest extent permitted by law, Firm's liability to Client for any claim arising out of this Agreement or the representation is limited to direct damages and shall not exceed the total fees paid by Client to Firm under this Agreement. In no event shall Firm be liable for consequential, incidental or punitive damages.

11. DISPUTE RESOLUTION

The parties shall attempt in good faith to resolve any dispute arising under this Agreement through negotiation. If not resolved, disputes shall be submitted to binding arbitration under the commercial arbitration rules applicable at the time in the jurisdiction specified in Section 12. The arbitrator(s) shall have authority to award fees and costs as permitted by law.

12. GOVERNING LAW

This Agreement shall be governed by and construed in accordance with the substantive law of the state of , without regard to its choice of law principles. Venue for any court proceeding shall lie exclusively in the courts of that state.

13. NOTICES

All notices required or permitted under this Agreement shall be given in writing and shall be deemed delivered when personally delivered, sent by nationally recognized overnight courier, or three business days after deposit in the United States mail, postage prepaid, and addressed to the addresses set forth below or such other address as a party designates by written notice.

14. AMENDMENTS; WAIVER

This Agreement may be amended only by a written instrument signed by both parties. No failure or delay by either party in exercising any right shall operate as a waiver of that right, nor shall a single or partial exercise preclude other or further exercise.

15. SEVERABILITY

If any provision of this Agreement is held to be invalid, illegal or unenforceable in any respect, the remainder of the Agreement shall remain valid and enforceable to the fullest extent permitted by law.

16. ENTIRE AGREEMENT

This Agreement, including any exhibits and acknowledged engagement letters incorporated herein by reference, constitutes the entire agreement between the parties with respect to the subject matter and supersedes all prior and contemporaneous agreements, understandings, negotiations and discussions, whether oral or written.

17. COUNTERPARTS

This Agreement may be executed in counterparts, each of which shall be deemed an original and all of which together shall constitute one and the same instrument. Signatures delivered by electronic transmission shall be binding.
