6. CONFIDENTIALITY AND NON-SOLICITATION

6.1 Confidentiality. Each party reaffirms its obligation to maintain in confidence all proprietary and client information obtained in connection with the Agreement. Such obligations survive termination of the Agreement and this Amendment for a period of unless a longer period is required by law.

6.2 Non-Solicitation. During the term of the Agreement and for a period of after termination, neither party shall directly solicit clients of the other party with whom the soliciting party had material contact in the preceding , except by mutual written consent.

7. REPRESENTATIONS AND WARRANTIES

Each party represents and warrants that: (a) it has full power and authority to enter into this Amendment; (b) the execution and delivery of this Amendment and the performance of its obligations hereunder have been duly authorized; and (c) this Amendment constitutes a valid and binding obligation enforceable in accordance with its terms, subject to applicable bankruptcy, insolvency, and other laws of general application affecting enforcement of creditors' rights.

9. AMENDMENT; WAIVER; COUNTERPARTS

This Amendment may be amended or waived only by an instrument in writing signed by both parties. No failure or delay by either party in exercising any right under this Amendment will operate as a waiver of that right. This Amendment may be executed in counterparts, each of which shall be deemed an original, and all of which together shall constitute one and the same instrument. Electronic signatures and transmission by electronic means shall be deemed original signatures for all purposes.

10. GOVERNING LAW
