What a Legal Pre Retainer Agreement Is

A Legal Pre Retainer Agreement is a short, written understanding executed before a full engagement letter or retainer is signed. It records basic client and firm information, scope pointers, estimated fees or deposit amount, and any conditions that must be satisfied before the firm opens a matter. The document can clarify whether work will begin immediately or only after a formal retainer, and it helps preserve priority of representation while allowing time for conflict checks, client ID verification, or payment processing under the terms agreed.

Why firms and clients use a pre-retainer agreement

A short pre-retainer agreement reduces ambiguity about immediate actions, fee expectations, and temporary confidentiality while the parties complete conflict checks and full engagement paperwork.

Why firms and clients use a pre-retainer agreement

Which parties commonly use a Legal Pre Retainer Agreement

Use this agreement to set immediate expectations, preserve representation rights, and document any refundable deposits or billing hold conditions.

  • Solo and small firms balancing intake speed with conflict screening and client verification before opening a trust account.
  • In-house counsel securing outside counsel availability for urgent matters while internal approvals are pending.
  • Corporate clients and individuals authorizing limited scope work (e.g., initial advice, document review) before full engagement.

Primary signatories and their roles

Signing Attorney

The attorney or authorized firm representative who confirms limited authorization to proceed, describes initial scope, and commits available staffing. This person must have authority to bind the firm for the described preliminary work and to accept or request retainer funds on behalf of the firm.

Client Representative

The individual authorized to retain the lawyer and provide payment details on behalf of the client entity or individual. Include mailing and billing addresses and indicate whether this person can execute a full engagement letter later or only approve the pre-retainer terms.

Core elements every professional pre-retainer should include

A clear structure prevents misunderstandings. The agreement should address parties, scope limits, deposit terms, billing, confidentiality, and the transition to a full retainer.

Parties

Full legal names and entity types for the law firm and the client; include business address and contact details to avoid later identity disputes.

Limited Scope

Concise description of the narrowly authorized tasks (e.g., initial consultation, document review) and an explicit statement that broader representation requires a separate engagement.

Retainer Amount

Specify deposit or advance fee, whether it goes to trust, how it will be billed against, and refund conditions in the event no further representation occurs.

Billing Terms

Hourly rates, billing increments, invoice frequency, and payment methods; state whether disbursements or third-party costs are advance or reimbursable.

Confidentiality & Conflicts

Basic confidentiality clause and a statement that the agreement is conditioned on a successful conflict check and identity verification.

Termination

How either party may terminate this preliminary arrangement and what happens to unused retainer funds or delivered work product.

  • Integrations: CRM and matter management integration
  • File formats: Accept PDF and DOCX originals
  • Authentication: Email, SMS code, or stronger methods

Where to send and how signatures are captured

A simple upload-send-sign flow is effective for most pre-retainers when coupled with clear signer authentication and record retention rules.

  • Upload: Add the completed template to the eSign platform
  • Place fields: Add signature, name, and date fields
  • Send to signer: Use email link or secure portal
  • Sign and store: Signer executes; save audit trail
