What a Legal Preference Agreement Is

A Legal Preference Agreement is a written contract in which parties record their chosen legal forum, governing law, dispute resolution method, or other jurisdictional preferences for interpreting their relationship. It typically specifies the state law that governs, venue for actions, consent to personal jurisdiction, and any choice-of-law clauses, plus related procedural preferences such as arbitration or waiver of jury trial. Such agreements help reduce uncertainty about applicable law, speed dispute resolution decisions, and make downstream filings and enforcement more predictable across state lines.

Why including jurisdictional preferences matters

Using a Legal Preference Agreement clarifies which state's laws apply, reduces venue disputes, and can require arbitration or specify courts, improving predictability for parties. It is especially useful in multi-state relationships or where forum shopping and conflicting rules might delay enforcement.

Why including jurisdictional preferences matters

Who commonly completes a Legal Preference Agreement

Common users include corporate legal teams, contracting parties, and counsel drafting cross-border or multi-state agreements.

  • In-house counsel managing vendor and SaaS contracts across multiple states.
  • Commercial parties agreeing on venue or arbitration to avoid litigation uncertainty.
  • Small businesses and startups wanting predictable dispute resolution and governing law.

Use of this agreement is common where jurisdictional clarity prevents procedural delays and reduces litigation costs.

Follow these practical steps to prepare, negotiate, and execute a Legal Preference Agreement correctly and consistently.

  • 01

Common drafting mistakes to avoid

  • Using informal or misspelled party names causes identity mismatches and may invalidate enforcement or trigger additional evidence requirements.
  • Failing to provide ESIGN consumer disclosures when required by 15 U.S.C. §7001(c) can void consent to electronic records.
  • Relying on weak signer authentication (email-only) increases risk of contested signatures and successful repudiation claims in litigation.

Core clauses and optional features to include

Core clauses and optional features that make a Legal Preference Agreement robust, enforceable, and clear for parties and courts alike.

Governing Law

A clear clause naming the state law that will interpret the agreement, including any statutory exceptions or mandatory rules; specify whether the selection is exclusive and how conflicts of law will be resolved.

Forum Selection

An explicit venue or arbitration seat clause that states the chosen courts, county, or arbitration provider; consider specifying consent to personal jurisdiction and waiver of inconvenient forum objections.

Arbitration

If arbitration is selected, include governing rules, seat, number of arbitrators, and remedies; state whether arbitration decisions are final and how costs and fees will be allocated among parties.

Interplay with Statute

Address how this agreement interacts with statutes or regulatory requirements, including any carve-outs for regulatory filings, consumer protections, or mandatory public policy exceptions.

Severability

Include severability and savings clauses to preserve enforceability if a particular choice-of-law or forum provision is found unenforceable by a court.

Signature Blocks

Provide blocks for each party with printed name, title, organization, date, and a statement confirming authority to bind the entity; reference corporate resolutions if necessary.

Practical drafting and execution tips

Practical drafting and execution tips to reduce disputes and improve enforceability of your Legal Preference Agreement.

Use unambiguous and specific drafting language
Avoid catch-all phrases. Specify exact state, court level, county, and arbitration seat; state whether selections are exclusive and whether alternative dispute resolution is mandatory. Precise wording reduces litigation over interpretation and increases likelihood of enforcement.
Confirm signatory authority and evidentiary support
Obtain board resolutions, corporate certifications, or power-of-attorney documents where an entity signs. Include a representation clause that the signer has authority to bind the organization; this avoids post-signature challenges to enforceability.
Include ESIGN consumer consent disclosure when required
If the agreement affects consumers, provide required ESIGN disclosures (15 U.S.C. §7001(c)), demonstrate the consumer can access electronic records, and document explicit consent and method to withdraw consent.
Retain reproducible records and audit trails
Keep exact copies of signed documents, audit trails with timestamps, IP addresses, and authentication logs. Maintain records in a secure, retrievable format to satisfy ESIGN retention and evidentiary needs in litigation.
