LEGAL PREVENTION AGREEMENT

This Legal Prevention Agreement ("Agreement") is entered into as of by and between , with principal address (hereinafter "Party A"), and , with principal address (hereinafter "Party B").

RECITALS

WHEREAS, Party A and Party B each have an interest in implementing reasonable procedures and controls to prevent incidents, legal violations, or harms described herein; and

WHEREAS, the parties wish to set forth mutual obligations to identify risks, implement preventive measures, monitor compliance, and provide for remedies in the event of breach; and

WHEREAS, the parties intend that this Agreement govern the allocation of duties and remedies related to prevention, mitigation and reporting of the covered risks.

NOW, THEREFORE, in consideration of the mutual covenants and promises contained herein, the parties agree as follows:

1. DEFINITIONS

For purposes of this Agreement, the following terms shall have the meanings set forth below:

"Covered Risks" means any risks, acts, omissions or conditions identified in the Preventive Actions Schedule that reasonably could give rise to a legal claim, regulatory action, or substantial loss.

"Preventive Actions" means the controls, policies, training, inspections, and reporting protocols set forth in the Preventive Actions Schedule and any amendments thereto.

2. PREVENTIVE MEASURES

Each party shall implement and maintain the Preventive Actions described in the Preventive Actions Schedule in a commercially reasonable manner. Preventive Actions shall include, at minimum: (a) documented written procedures; (b) assignment of an authorized representative responsible for oversight; (c) periodic training of personnel; and (d) reasonable physical, technical and administrative controls to reduce the likelihood of occurrence of Covered Risks.

3. MONITORING, REPORTING AND AUDIT

Each party shall monitor compliance with Preventive Actions and shall promptly report to the other party any material incident or condition reasonably likely to give rise to a claim or regulatory proceeding. Reports shall be made in writing to the designated notices contact and shall include a description of the incident, steps taken to mitigate harm, and proposed corrective actions.

4. COMPLIANCE WITH LAWS

Each party shall comply with all applicable laws, regulations and standards in carrying out its obligations under this Agreement. Compliance obligations include timely completion of legally required filings, notifications to competent authorities where applicable, and retention of records necessary to demonstrate compliance.

5. REMEDIES; INJUNCTIVE RELIEF

The parties acknowledge that a breach of obligations designed to prevent material harm or legal violations may cause irreparable injury for which monetary damages would be an inadequate remedy. Accordingly, in addition to any other remedies available at law or in equity, the non-breaching party shall be entitled to seek injunctive relief, specific performance, and any other provisional remedies without the requirement of posting a bond.

6. INDEMNIFICATION

Each party (the "Indemnifying Party") shall indemnify and hold harmless the other party (the "Indemnified Party") from and against all losses, liabilities, damages, costs and expenses (including reasonable attorneys' fees) arising out of any claim resulting from the Indemnifying Party's material breach of this Agreement or its failure to perform the Preventive Actions.

7. TERM; TERMINATION

This Agreement shall commence on the effective date set forth above and shall continue for a period of years, unless earlier terminated as provided herein. Either party may terminate this Agreement upon thirty (30) days' prior written notice for material breach if such breach remains uncured at the expiration of such period.

8. CONFIDENTIALITY

All non-public information disclosed in the course of implementing Preventive Actions shall be treated as confidential and shall not be disclosed except as required by law or with the prior written consent of the disclosing party. Confidential information shall be used solely for purposes of compliance with this Agreement.

9. NOTICES

All notices required or permitted under this Agreement shall be in writing and delivered to the party's designated contact at the address set forth below or such other address as either party may specify in writing. Notices shall be effective upon receipt.

10. AMENDMENTS; WAIVER

This Agreement may be amended only by a written instrument executed by authorized representatives of both parties. No failure or delay by either party in exercising any right shall operate as a waiver of that right, and no single or partial exercise of any right shall preclude other or further exercise of that right.

11. COUNTERPARTS; ELECTRONIC SIGNATURES

This Agreement may be executed in counterparts, each of which shall be deemed an original, and all of which together shall constitute one instrument. Signatures transmitted by facsimile or electronic image shall be deemed original signatures.

12. GOVERNING LAW

This Agreement shall be governed by and construed in accordance with the laws of the state specified below without regard to its conflict of laws principles.

13. ENTIRE AGREEMENT

This Agreement, together with the Preventive Actions Schedule and any exhibits expressly incorporated herein, constitutes the entire agreement between the parties with respect to the subject matter hereof and supersedes all prior and contemporaneous agreements, understandings and negotiations.

14. SEVERABILITY

If any provision of this Agreement is held to be invalid, illegal or unenforceable in any respect, the validity, legality and enforceability of the remaining provisions shall not be affected, and the parties shall endeavor in good faith to replace the invalid provision with a valid provision that, to the greatest extent possible, achieves the parties' original intent.

15. MISCELLANEOUS PROVISIONS

The parties acknowledge that this Agreement imposes affirmative obligations on both parties. Nothing in this Agreement shall be construed to create an agency, partnership or joint venture between the parties. The parties each represent and warrant that they are authorized to enter into this Agreement.

What the Legal Prevention Agreement Is and when it applies

A Legal Prevention Agreement is a proactive contract that sets expectations, obligations, and remedies to reduce the risk of later disputes between parties. Typically used before or at the start of a commercial relationship, it clarifies scope, confidentiality, notice procedures, cure periods, and dispute-resolution steps so parties can resolve issues quickly without litigation. The document is transactional in nature and can be tailored to cover industry-specific protections, regulatory requirements, and signature methods, including electronic signatures that meet U.S. legal standards under ESIGN and applicable state law.

Why use a Legal Prevention Agreement

A clear prevention agreement reduces ambiguity, limits exposure to costly disputes, and documents agreed risk-allocations. It supports enforceability by confirming intent, record retention, and signature attribution, elements recognized under ESIGN and state e-signature laws.

Why use a Legal Prevention Agreement

Who commonly creates and signs this agreement

Typical users include contracting parties seeking to reduce future litigation risk and compliance teams managing regulatory exposure.

  • Small and mid-size businesses seeking standardized dispute prevention language for recurring contracts.
  • In-house legal and compliance teams requiring consistent clauses to reduce regulatory risk.
  • Independent contractors and vendors needing clear payment, scope, and termination rules.

The agreement also serves outside counsel, procurement, and operations as a contract-management tool to ensure consistent, enforceable standards across engagements.

Primary signers and their roles

General Counsel

Corporate or outside counsel who drafts, reviews, and approves the prevention agreement language to align with corporate policy and regulatory obligations. They verify authority to contract and confirm enforceability across relevant jurisdictions.

Business Owner

Senior operational or financial decision-maker who accepts commercial terms, ensures accurate business details in the agreement, and confirms that execution and retention processes are followed.

Core components to include for effective prevention

Include specific clauses that allocate risk, define obligations, and create easy-to-follow procedures for notice, cure, and dispute resolution so the agreement prevents escalation.

Preventive Terms

Clear obligations and service descriptions that limit ambiguity and set measurable performance criteria to reduce later disagreements.

Notice & Cure

Defined notice procedures and cure periods that require written notice, deadlines, and steps to fix breaches before remedies escalate.

Dispute Resolution

Choice-of-law, venue, and dispute resolution (mediation/arbitration) provisions that limit litigation costs and encourage early resolution.

Confidentiality

Nondisclosure terms that protect sensitive information and specify permitted disclosures and duration of confidentiality obligations.

Remedies

Specified remedies and limitation-of-liability language, including caps and exclusions, to make potential exposures predictable.

Execution

Signature blocks, effective date, and execution instructions for single or multiple counterpart signatures, including electronic signing options.

Essential security and compliance elements to document

Encryption: TLS 1.2/1.3 in transit, AES-256 at rest
Audit Trail: Timestamps, IP, action log
Access Controls: Role-based permissions, SSO support
HIPAA BAA: Business associate agreement available
21 CFR Part 11: Controls for FDA-regulated records
Authentication: Email, SMS, KBA, or advanced methods

Step-by-step process to prepare and execute the agreement

A concise four-step workflow helps ensure completeness and legal readiness before signatures are exchanged.

  • 01
Gather Information: Collect legal names, addresses, and supporting exhibits.
  • 02
Draft Terms: Insert preventive clauses and precise performance metrics.
  • 03
Review: Legal and finance review for risk and tax impact.
  • 04
Execute: Sign, date, and distribute executed copies to parties.

Common online workflow settings for digital completion

Configure these settings when preparing the agreement in an e-signature platform to match your control and authentication needs.

Field Configuration
Signer Order Sequential or parallel signing
Authentication Email link, SMS code, or KBA
Templates Save reusable clause and field sets
Notifications Enable email reminders and completion alerts

Where to send and how signed copies are returned

Typical routing and delivery are simple: send to signers, authenticate, capture signatures, then distribute and archive the executed agreement.

  • Prepare Document: Upload final PDF/DOCX with fields
  • Place Fields: Add signature, initials, and date fields
  • Send to Signers: Deliver via email link or direct invite
  • Receive Executed: All parties receive signed PDF and audit trail

Digital signing and technical delivery considerations

Ensure the chosen platform supports required authentication, format exports, and integrations with your systems.

  • Integrations: Salesforce, NetSuite, Google Workspace
  • Document Formats: PDF, DOCX, HTML
  • Storage: Cloud, Box, Egnyte, local export

Consequences of an incomplete or incorrect agreement

Unenforceability: Vague or unsigned terms can render provisions unenforceable
Tax Exposure: Poorly documented consideration may trigger reporting issues
HIPAA Risk: Inadequate privacy language can lead to regulatory fines
Contract Penalties: Missed notice or cure steps can forfeit remedies
Notary Defect: Missing notarization when required may invalidate act
Data Loss: Improper retention can impede litigation or audit defense

Common mistakes to avoid when preparing the agreement

  • Using party names that do not match formation or tax records, creating ambiguity over who is bound by the agreement.
  • Leaving the effective date blank or using informal date formats, which can affect enforceability and limitation periods.
  • Failing to specify consideration clearly or relying on vague terms like 'fair value' without measurable benchmarks.
  • Skipping appropriate signer authentication or consumer e-consent where ESIGN disclosure is required, which risks invalidation.

Key timing, deadlines, and expected processing steps

Set explicit deadlines in the agreement for notices, cure periods, and performance milestones so parties know required timeframes.

Notice Period:

Specify number of days to notify breach (commonly 10–30 days)

Cure Period:

Define cure window (often 30 days) to remedy defaults

Payment Terms:

State net payment days (Net 30, Net 45) and late fees

Renewal Notice:

Require notice window for non-renewal (e.g., 60 days)

Record Requests:

Allow 30 days for responses to document preservation or audits
