What the Legal Privilege Form Is and When it Applies

A Legal Privilege Form is a written assertion used to identify and preserve privileged communications and protected materials — typically attorney-client communications or attorney work product — when responding to third-party requests, discovery, or internal audits. The form documents the basis for privilege, describes the documents or communications withheld, records the date range, and names the asserting party. It serves as a formal record that notice was given and supports later privilege logs, privilege reviews, or court submissions where a privilege claim must be justified.

Why a Legal Privilege Form Matters

A clear privilege claim reduces the risk of inadvertent waiver, supports later disputes, and provides an audit trail for counsel and courts.

Why a Legal Privilege Form Matters

Who Typically Prepares and Signs This Form

Common users include outside counsel, in-house legal teams, and authorized company representatives who handle privileged materials.

  • Outside Counsel — Law firms asserting attorney-client privilege or work-product protections on behalf of clients in litigation and investigations.
  • In-House Counsel — Corporate legal departments documenting internal privilege claims during audits, subpoena responses, or regulatory reviews.
  • Authorized Representatives — Senior officers or delegated staff who confirm privilege assertions when counsel is unavailable.

The form should be completed or approved by counsel where possible to ensure accuracy and legal sufficiency.

Essential Parts of a Professional Legal Privilege Form

A practical form is concise but complete: it identifies the asserting party, lists categories of withheld materials, states the privilege basis, and provides contact details for counsel. Include clear dates, document identifiers, and a signature block.

Common Mistakes to Avoid When Preparing this Form

  • Overly descriptive entries that reveal privileged substance instead of identifiers.
