What the Legal Processing Instructions Are

Legal Processing Instructions are a written set of directions accompanying a legal document that specify how the document must be completed, authenticated, routed, filed, and retained. They clarify required fields, signing order, witness or notary steps, delivery endpoints, and any jurisdictional or industry-specific conditions. For electronic workflows they also define acceptable eSignature methods and record-retention protocols consistent with the ESIGN Act (15 U.S.C. §7001) and UETA where applicable.

Why clear processing instructions matter

Providing precise Legal Processing Instructions reduces errors, supports enforceability, and shortens turnaround times by ensuring everyone follows the same authentication, notarization, and filing steps.

Why clear processing instructions matter

Who prepares and follows these instructions

Legal Processing Instructions are routinely prepared by administrators, legal counsel, and operations staff to guide signers and processing teams through accurate execution.

  • In-house counsel and paralegals who need consistent execution and retention across matters and jurisdictions.
  • Operations, HR, or closing teams that route documents, confirm identity, and maintain audit trails.
  • External signers (clients, vendors, witnesses) who require clear steps for signing, notarization, and return.

Clear instructions reduce rework across departments and make compliance and audit responses faster and more predictable.

Step-by-step: preparing and issuing the instructions

Follow these sequential steps to create and circulate Legal Processing Instructions so signers complete documents correctly and the record meets legal and regulatory expectations.

  • 01
Assemble document: Gather contract, exhibits, and any required forms before drafting instructions.
  • 02
Define parties: List full legal names and roles (signer, witness, notary) with contact details.
  • 03
Specify authentication: State acceptable eSignature methods and any identity-proofing required.
  • 04
Route and retain: Identify submission endpoints, retention owner, and file format for the final record.

Core components to include in professional instructions

A complete instruction set should cover parties, field rules, authentication, notarization, routing, and retention so execution is consistent and defensible.

Parties and roles

List each party with full legal name, role (e.g., grantor, grantee), contact email, and signer designation to avoid ambiguity during execution.

Required fields

Identify mandatory fields, required formats (dates, TINs), and any conditional entries that trigger additional approvals or witnesses.

Signing and authentication

Specify permitted eSignature types, acceptable authentication strength, and any identity-proofing steps such as KBA or government ID checks.

Notary and witness steps

State whether notarization is required, whether RON is permitted, and how witnesses should sign, including count and sequence.

Routing and delivery

Define the signing order, delivery endpoints (email, portal, filing office), and who is responsible for final filing or recording.

Retention and audit

Include the retention owner, required storage format, and what audit evidence (timestamps, IP, certificate) must be preserved.

Security, compliance, and technical safeguards

Encryption: AES-256 at rest; TLS 1.2/1.3 in transit
Audit trail: Timestamped events, IP, and action log
Access controls: Role-based permissions and session controls
BAA available: Business Associate Agreement for HIPAA
21 CFR readiness: Supports 21 CFR Part 11 controls
Authentication: Supports SMS, KBA, and SSO methods

How to configure the electronic workflow

Configure workflow settings to match the Legal Processing Instructions and to ensure the system enforces sequence, authentication, and retention policies.

Field Configuration
Authentication Method Email link | SMS code | KBA
Recipient Routing Sequential or parallel routing order
Conditional Fields Show/hide fields based on prior responses
Document Format PDF/A preferred for long-term retention

Technical considerations for digital completion

Confirm platform compatibility, supported file formats, and integration endpoints before publishing instructions.

  • File types: PDF, DOCX, XLSX, HTML supported
  • Integrations: Salesforce, NetSuite, Microsoft 365, Google Workspace
  • Audit and export: Exportable audit logs and certificates

Ensure the chosen platform enforces authentication, preserves an audit trail, and stores records in a compliant format for the required retention period.

Where to send and file completed documents

Specify submission endpoints and expected final destinations so recipients know whether to return the document to an internal repository, a county recorder, or an external counterparty.

  • Internal records: Deliver final signed PDF to legal or records manager email/portal.
  • Public filing: Submit original or notarized copy to county recorder or state filing office.
  • External parties: Email signed copies to all signers and designated third parties.
  • Archival: Store master copy in secure archive for the retention term.

Timelines and date-sensitive obligations

Include any statutory deadlines and typical processing time expectations so signers meet filing windows and avoid penalties.

Statutory e-sign rules:

ESIGN (15 U.S.C. §7001) governs interstate enforceability

Tax forms timing:

1099-NEC and W-2 recipient deadline is Jan 31

I-9 retention:

Retain for 3 years after hire or 1 year after termination (8 CFR §274a.2)

Notary/RON windows:

Some states require video recording retention for 5–10 years

Processing SLAs:

Specify internal review time e.g., 3–10 business days

Common consequences of incorrect instructions

Tax penalties: Late 1099 fines per §6721 (e.g., $60–$330+)
I-9 fines: $281–$2,789 per paperwork violation
HIPAA exposure: Potential civil monetary penalties and corrective actions
Recording rejection: Deeds or liens rejected for missing notarization
Enforceability risk: Signatures lacking intent/consent may be disputed
Operational delay: Re-execution increases time and administrative cost
