LEGAL PROFIT SHARING AGREEMENT

This Profit Sharing Agreement ("Agreement") is entered into as of by and between Party A: , with principal place of business at , and Party B: , with principal place of business at .

RECITALS

WHEREAS, Party A and Party B desire to collaborate in the operation of certain business activities and to allocate profits arising from those activities in accordance with the terms set forth herein; and

WHEREAS, the parties intend that profits subject to this Agreement shall be calculated in a manner consistent with generally accepted accounting principles applied consistently and adjusted as expressly provided in this Agreement; and

WHEREAS, the parties desire to set forth their respective rights and obligations with respect to the distribution of such profits and the maintenance of records and audits.

NOW, THEREFORE, in consideration of the mutual covenants contained herein and other good and valuable consideration, the parties agree as follows:

1. DEFINITIONS

1.1 "Net Profits" means the gross revenue attributable to the covered activities, less direct costs, cost of goods sold, operating expenses, taxes (other than taxes described as the responsibility of a party under Section 10), depreciation and amortization, allowances and other customary and reasonable deductions, each determined in accordance with the Accounting Method specified by the parties. The Accounting Method shall be:

2. ALLOCATION OF PROFITS

2.1 Allocation. Subject to the terms and adjustments set forth in this Agreement, Net Profits for each Profit Period shall be allocated as follows: Party A shall receive % and Party B shall receive % of Net Profits.

2.2 Priority Distributions. Before any allocation to the parties, payments required by third-party creditors, required tax withholdings, and reserves reasonably established by the accounting manager shall be deducted from gross receipts.

3. CALCULATION AND ACCOUNTING

3.1 Books and Records. Accurate books of account and records shall be kept and shall be available to both parties at all reasonable times. The accounting manager responsible for preparation of financial statements for the Profit Period shall be: .

3.2 Adjustments. Both parties agree that reasonable and customary adjustments for returns, allowances, accruals, and prior-period corrections may be made and that such adjustments shall be reflected in the Profit Period in which they are identified.

4. PAYMENT TERMS

4.1 Timing. Distributions of allocated Net Profits shall be paid to each party within days after the end of the applicable Profit Period and after delivery of the Profit Period statement required by Section 3.

4.2 Payment Instructions. Payments shall be made by electronic transfer or check to the accounts designated by each party as follows.

5. RECORDS, AUDIT AND INSPECTION

5.1 Inspection and Audit. Each party shall have the right, upon reasonable prior written notice and during normal business hours, to inspect and audit books and records maintained in connection with the calculation of Net Profits, not more than once per Profit Period, unless material dispute exists.

5.2 Costs of Audit. If an audit discloses an underpayment of more than % in favor of the inspecting party, the underpaying party shall reimburse the reasonable costs of the audit.

6. TERM AND TERMINATION

6.1 Term. This Agreement shall commence on the Agreement Date and continue for a term of years unless earlier terminated as provided herein.

6.2 Early Termination. Either party may terminate this Agreement upon days' prior written notice to the other party for any material breach that remains uncured at the expiration of such notice period.

7. CONFIDENTIALITY

7.1 Confidential Information. Each party agrees to hold in confidence and not disclose to any third party any non-public information concerning the business, customers, pricing, trade secrets or financial affairs of the other party disclosed in connection with this Agreement, except as required by law.

7.2 Duration. The obligations in this Section 7 shall survive termination of this Agreement for a period of years.

8. REPRESENTATIONS AND WARRANTIES

8.1 Mutual Representations. Each party represents and warrants that it has the full corporate or individual power and authority to enter into this Agreement, that the execution and performance hereof will not violate any agreement or law, and that no consent or authorization of any third party is required other than those disclosed in writing.

9. INDEMNIFICATION

9.1 Indemnity. Each party (the "Indemnifying Party") shall indemnify, defend and hold harmless the other party from and against any liabilities, losses, damages, costs or expenses (including reasonable attorneys' fees) arising out of or resulting from the Indemnifying Party's breach of this Agreement, gross negligence or willful misconduct.

10. LIMITATION OF LIABILITY AND TAXES

10.1 Limitation. Except for liability arising from a party's fraud, willful misconduct, or willful breach of Section 7 (Confidentiality), neither party shall be liable to the other for consequential, incidental, punitive, or special damages.

10.2 Taxes. Each party shall be responsible for its own taxes arising from distributions received under this Agreement. The parties shall cooperate to provide required tax forms and information. If any party is required by law to withhold taxes from any distribution, the amount so withheld shall be treated as having been distributed to the recipient for purposes of this Agreement.

11. NOTICES

All notices, requests, demands and other communications required or permitted under this Agreement shall be in writing and shall be delivered to the addresses set forth below (or to such other address as a party may designate by notice in accordance with this Section).

12. AMENDMENTS; WAIVER; COUNTERPARTS

12.1 Amendments and Waivers. No amendment, modification or waiver of any provision of this Agreement shall be effective unless in writing and signed by both parties. No waiver of any breach shall constitute a waiver of any subsequent breach.

12.2 Counterparts. This Agreement may be executed in counterparts, each of which shall be deemed an original and all of which together shall constitute one instrument. Signatures delivered by electronic means shall be binding.

13. GOVERNING LAW; ENTIRE AGREEMENT; SEVERABILITY

13.1 Governing Law. This Agreement shall be governed by and construed in accordance with the laws of the State of , without regard to conflict of law principles.

13.2 Entire Agreement. This Agreement constitutes the entire agreement between the parties with respect to the subject matter hereof and supersedes all prior and contemporaneous agreements and understandings, whether written or oral.

13.3 Severability. If any provision of this Agreement is held to be invalid, illegal or unenforceable by a court of competent jurisdiction, the remaining provisions shall remain in full force and effect and the parties shall negotiate in good faith to replace the invalid provision with a valid provision that achieves the original intent as closely as possible.

14. MISCELLANEOUS

14.1 Relationship of Parties. Nothing in this Agreement shall be deemed to create a partnership, joint venture, employment relationship or agency other than the profit sharing arrangements expressly set forth herein.

14.2 Further Assurances. Each party agrees to execute and deliver such further documents and perform such further acts as may be reasonably necessary to effectuate the purposes of this Agreement.
