LEGAL PROJECT AGREEMENT

This Legal Project Agreement ("Agreement") is entered into as of Effective Date: by and between Client Name: and Contractor Name: .

RECITALS

WHEREAS, Client requires legal project services consisting of discrete tasks, deliverables and milestones as described herein; and

WHEREAS, Contractor represents that it has the professional experience, qualifications and resources to perform the services on the terms set forth in this Agreement; and

WHEREAS, the parties desire to set forth the terms and conditions under which Contractor will perform the legal project work for Client.

NOW, THEREFORE, in consideration of the mutual covenants and agreements contained herein, the parties agree as follows:

1. SCOPE OF WORK

1.1 Services. Contractor shall perform the legal services and produce the deliverables described in the Scope of Work below (the "Services"). The Services shall include, at a minimum, the tasks and responsibilities set forth in the Scope of Work.

2. DELIVERABLES AND ACCEPTANCE

2.1 Deliverables. Contractor shall deliver the work products identified in the Scope of Work. Each deliverable must be accompanied by sufficient documentation to allow Client to test and accept the deliverable in accordance with the Acceptance Criteria.

2.2 Acceptance Period. Client shall have a period of days from delivery to accept or provide written objections describing material deficiencies. Failure to timely object shall constitute acceptance.

3. PROJECT SCHEDULE AND MILESTONES

3.1 Commencement and Completion. Contractor shall commence Services on Start Date: and shall use commercially reasonable efforts to achieve Completion Date: , subject to adjustments under this Agreement.

4. COMPENSATION AND PAYMENT

4.1 Fees. Client shall pay Contractor the fees set forth in this Section. The Total Project Fee is . Payment shall be made in accordance with the Payment Schedule.

4.2 Expenses. Client shall reimburse Contractor for reasonable, pre-approved out-of-pocket expenses incurred in performance of the Services upon submission of supporting receipts. Such expenses shall be billed monthly and are payable within days of invoice.

5. CHANGE ORDERS

5.1 Any changes to the Scope of Work, schedule or fees must be documented in a written change order signed by both parties. Change orders shall describe the change, any impact on fees or schedule, and shall be incorporated into this Agreement.

6. INTELLECTUAL PROPERTY

6.1 Ownership. Unless otherwise agreed in writing, Contractor hereby assigns to Client all right, title and interest in and to Deliverables created specifically for Client under this Agreement, subject to Contractor's retention of pre-existing tools and methodologies. Contractor grants Client a non-exclusive, perpetual license to Contractor's pre-existing materials incorporated into Deliverables only to the extent necessary to use the Deliverables for their intended purpose.

7. CONFIDENTIALITY

7.1 Each party shall hold in confidence all Confidential Information disclosed by the other party and shall not use or disclose such information except as necessary to perform its obligations under this Agreement. Confidential Information shall not include information that is public, rightfully received from a third party, independently developed or required to be disclosed by law.

8. REPRESENTATIONS; INDEPENDENT CONTRACTOR

8.1 Each party represents that it has authority to enter into this Agreement and to perform its obligations. Contractor represents that the Services will be performed in a professional and workmanlike manner consistent with industry standards.

8.2 Contractor is an independent contractor. Nothing in this Agreement shall be construed to create an employment, partnership, agency or joint venture relationship between the parties.

9. TERM AND TERMINATION

9.1 Term. This Agreement shall commence on the Effective Date and continue until completion of the Services unless earlier terminated in accordance with this Section.

9.2 Termination for Cause. Either party may terminate this Agreement for material breach if the breaching party fails to cure within thirty (30) days after written notice describing the breach. Termination shall not relieve Client of its obligation to pay for Services performed and non-cancellable commitments incurred prior to termination.

10. INDEMNIFICATION AND LIMITATION OF LIABILITY

10.1 Indemnification. Each party shall indemnify, defend and hold harmless the other party from and against any third-party claims arising out of the indemnifying party's gross negligence, willful misconduct or material breach of this Agreement.

10.2 Limitation of Liability. Except for liability arising from gross negligence, willful misconduct, or indemnification obligations, neither party's aggregate liability under this Agreement shall exceed the total fees paid by Client to Contractor under this Agreement.

11. NOTICES

11.1 Notices. Notices shall be in writing and delivered by hand, nationally recognized overnight courier, or certified mail to the addresses below and shall be effective upon receipt.

12. AMENDMENTS; WAIVER; SEVERABILITY; COUNTERPARTS

12.1 Amendment. This Agreement may be amended only by a written instrument signed by both parties.

12.2 Waiver. A waiver of any right under this Agreement must be in writing signed by the waiving party and shall not constitute a waiver of any other right.

12.3 Severability. If any provision of this Agreement is held invalid or unenforceable, the remaining provisions shall remain in full force and effect.

12.4 Counterparts. This Agreement may be executed in counterparts, each of which shall be deemed an original, and all of which together shall constitute one instrument.

13. GOVERNING LAW; ENTIRE AGREEMENT

13.1 Governing Law. This Agreement shall be governed by and construed in accordance with the laws of the state specified below without regard to its conflict of law principles.

13.2 Entire Agreement. This Agreement, including any exhibits or change orders, constitutes the entire agreement between the parties and supersedes all prior negotiations and agreements relating to the subject matter hereof.

ADDITIONAL TERMS

14.1 Insurance. Contractor shall maintain professional liability and other insurance as reasonably necessary for the performance of the Services and shall provide certificates upon request.

14.2 Records. Contractor shall keep accurate records of time and expenses and shall permit Client to audit such records upon reasonable notice.
