LEGAL PROJECT CONTRACT

This Legal Project Contract ("Agreement") is entered into as of Effective Date: by and between Client Name: with principal address and Service Provider Name: with principal address .

RECITALS

WHEREAS, Client desires to engage Provider to perform certain professional services and deliver specified project deliverables described herein; and

WHEREAS, Provider represents that it has the experience, competence, and personnel necessary to perform the services on the terms set forth in this Agreement; and

WHEREAS, the parties desire to set forth the terms and conditions under which Provider will perform the work and deliver the results to Client.

NOW, THEREFORE, in consideration of the mutual covenants and promises contained herein, the parties agree as follows.

1. SERVICES

1.1 Scope of Services. Provider shall perform the professional services and produce the deliverables described in the Project Description attached hereto and incorporated by reference. Provider shall perform such services in a timely, professional manner consistent with industry standards.

2. DELIVERABLES AND SCHEDULE

2.1 Deliverables. Provider shall deliver the items, reports, and materials specified in the Project Description. Each deliverable shall conform to the acceptance criteria set forth in the Project Description.

3. COMPENSATION

3.1 Fees. Client shall pay Provider a total fee of for the services and deliverables, in accordance with the payment schedule below.

3.2 Invoicing and Payment Terms. Provider shall invoice Client in accordance with the payment schedule. Client shall pay undisputed invoices within days of receipt. Overdue amounts shall accrue interest at the rate of until paid.

4. EXPENSES

Provider shall be reimbursed for pre-approved, reasonable out-of-pocket expenses incurred in connection with performance of the services. Reimbursable expenses shall be supported by receipts and invoiced monthly.

5. TERM AND TERMINATION

5.1 Term. This Agreement shall commence on the Effective Date and continue until completion of the services, unless earlier terminated in accordance with this Section.

5.2 Termination for Convenience. Either party may terminate this Agreement for convenience upon days' prior written notice to the other party. Upon termination, Provider shall deliver any work in progress and Client shall pay Provider for work performed through the effective date of termination.

6. CONFIDENTIALITY

6.1 Confidential Information. "Confidential Information" means non-public information disclosed by one party to the other that is designated as confidential or that reasonably should be understood to be confidential.

6.2 Obligations. Each party shall hold Confidential Information in strict confidence, shall not disclose it to third parties except as expressly permitted, and shall use it only to perform obligations under this Agreement. These obligations shall survive termination for a period of .

7. INTELLECTUAL PROPERTY

7.1 Ownership. Unless otherwise agreed in writing, Provider shall retain ownership of its pre-existing intellectual property. Subject to Client's payment in full, Provider assigns to Client all right, title and interest in and to the deliverables specifically created for Client under this Agreement, to the extent such assignment is legally permissible.

7.2 License. To the extent Provider cannot assign any pre-existing materials embedded in the deliverables, Provider grants Client a perpetual, worldwide, non-exclusive, royalty-free license to use such materials solely as part of the deliverables for Client's internal business purposes.

8. REPRESENTATIONS AND WARRANTIES

Each party represents and warrants that it has the full power and authority to enter into this Agreement and to perform its obligations hereunder. Provider further warrants that the services will be performed in a professional and workmanlike manner in accordance with industry standards.

9. INDEMNIFICATION

Provider shall indemnify, defend and hold harmless Client and its officers, directors and employees from and against any third-party claims arising out of Provider's negligence, willful misconduct, or material breach of this Agreement. Client shall indemnify Provider for claims arising from Client-supplied materials or Client's misuse of the deliverables.

10. LIMITATION OF LIABILITY

Except for liability arising from breach of confidentiality or indemnification obligations, neither party's aggregate liability for any claim arising out of or relating to this Agreement shall exceed the total amount paid or payable by Client to Provider under this Agreement during the twelve (12) month period preceding the claim.

11. INSURANCE

Provider shall maintain, at its own expense, insurance coverage appropriate to the services provided, including general liability and professional liability insurance, and shall provide certificates upon request.

12. INDEPENDENT CONTRACTOR; SUBCONTRACTING

Provider is an independent contractor. Nothing in this Agreement creates an employer-employee, partnership, or joint venture relationship. Provider may engage subcontractors, provided Provider remains responsible for contractor performance and compliance with this Agreement.

13. COMPLIANCE WITH LAWS

Each party shall comply with all applicable laws, rules and regulations in performing its obligations under this Agreement and shall obtain and maintain all necessary permits and licenses.

14. NOTICES

All notices required or permitted under this Agreement shall be in writing and shall be delivered to the addresses set forth below or such other address as either party may specify by notice to the other.

15. AMENDMENTS; WAIVER; COUNTERPARTS

This Agreement may be amended only by a written instrument signed by both parties. Failure to enforce any provision shall not constitute a waiver of that provision. This Agreement may be executed in counterparts, each of which shall be deemed an original.

16. GOVERNING LAW; ENTIRE AGREEMENT; SEVERABILITY

This Agreement shall be governed by and construed in accordance with the laws of the State of , without regard to conflict of laws principles.

This Agreement, together with any exhibits and attachments, constitutes the entire agreement between the parties with respect to the subject matter hereof and supersedes all prior and contemporaneous agreements and understandings.

If any provision of this Agreement is held to be invalid or unenforceable, the remaining provisions shall remain in full force and effect and shall be construed so as to effectuate the intent of the parties to the fullest extent permitted by law.

17. MISCELLANEOUS

The headings in this Agreement are for convenience only and shall not affect interpretation. Time is of the essence with respect to Provider's performance obligations.
