What the Legal Proprietary Information Checklist Is

The Legal Proprietary Information Checklist is a structured inventory used to identify, classify, and document confidential or proprietary data before disclosure, contract negotiation, or due diligence. It records the item description, owner, sensitivity level, permitted recipients, and any applicable retention or handling rules so legal, compliance, and business teams can assess risk and capture approvals in writing.

Why a Checklist Matters for Confidentiality and Risk Control

Using a standardized checklist reduces ambiguity about what is proprietary, documents authorization for disclosure, and provides a defensible record for audits or disputes under ESIGN and UETA frameworks.

Why a Checklist Matters for Confidentiality and Risk Control

Who Typically Completes This Checklist

This checklist is completed by business owners, legal counsel, and compliance teams to document proprietary information consistently.

  • Legal and compliance teams managing NDAs and IP assignments, ensuring legal terms match identified assets.
  • Product and engineering managers who control source code, technical specs, and design documents requiring restricted access.
  • Procurement, vendor managers, and M&A teams documenting what third parties may receive and under what conditions.

Use the checklist to support contract reviews, M&A diligence, vendor data requests, and internal knowledge transfers.

Step-by-Step: Completing the Checklist

Follow the sequence below to gather information, validate classification, and obtain required approvals before sharing proprietary material.

  • 01
    1. Gather Items: Collect documents, files, and references for each asset to list.
  • 02
    2. Identify Owner: Assign a custodian responsible for access and updates.
  • 03
    3. Classify: Choose confidentiality level and list handling rules.
  • 04
    4. Approve & Sign: Obtain legal and business sign-offs prior to disclosure.

How the Checklist Fits into Your Disclosure Workflow

The checklist serves as the control list at key touchpoints: internal review, legal approval, and external disclosure. Track status at each step.

  • Upload and Inventory: Store a copy in a secure repository with a versioned filename.
  • Internal Review: Business owner and security review access needs and redaction requirements.
  • Legal Approval: Legal confirms classification aligns with contract terms and export controls.
  • Record Sharing: Log recipients, method, and any executed NDAs or access agreements.

Configuring an Online Checklist Workflow

Set workflow parameters so each checklist follows the correct approval path and stores a complete audit trail.

Field Configuration
Authentication Require email plus optional SMS or KBA per sensitivity.
Conditional Fields Show redaction and export-control fields only for high sensitivity.
Approval Routing Route to owner, then legal, then security for final sign-off.
Storage Save signed checklist and attachments to secure repository.

Technical and Format Requirements for Digital Use

Ensure the platform supports secure PDFs, audit trails, and configurable fields before you go live.

  • File Formats: PDF, DOCX, and image files supported.
  • Integrations: Salesforce, NetSuite, Google Workspace integration available.
  • Audit Trail: Capture IP, timestamp, and action logs.

Essential Elements of a Professional Checklist

A robust checklist combines identification, classification, handling instructions, and signatory controls so disclosures are auditable and enforceable.

Asset Inventory

A single-line identifier with date, version, and storage location for each item so teams can reconcile what was shared.

Owner Assignment

Named custodian with contact details and responsibility for updates, redaction decisions, and access approvals.

Confidentiality Tier

Clear tiers (Internal, Confidential, Highly Confidential) with prescriptive handling, encryption, and transport controls for each tier.

Disclosure Purpose

State reason for sharing and authorized scope, limiting recipients to what is necessary for the stated purpose.

Approval Log

Record who approved disclosure, method of signature, and any attached NDAs or contractual terms governing use.

Retention Note

Specify retention period and destruction method consistent with regulatory and contractual obligations.

Security and Compliance Data to Record

Encryption: TLS 1.2/1.3 in transit; AES-256 at rest
Audit Trail: IP, timestamps, and action history
Authentication: Email, SMS, KBA, or stronger methods
Certifications: SOC 2 Type II and ISO 27001
Privacy Frameworks: GDPR and CCPA compliance
Regulated Support: HIPAA (BAA required) and 21 CFR Part 11

Common Preparation Mistakes to Avoid

  • Failing to name a custodian or contact person, which delays approvals and complicates incident response.
  • Using vague descriptions like 'business docs' that make it impossible to verify what was shared during audits.
  • Not recording the legal basis for disclosure or missing required consumer disclosures under ESIGN for consumer-facing items.
  • Sharing files without documenting recipient roles or expiry dates, increasing risk of unauthorized reuse or leaks.

Consequences of Incomplete or Incorrect Checklists

1099 Penalties: Up to $330 per form (IRC §6721)
Intentional Disregard: $660+ per form, no cap
I-9 Violations: $281–$2,789 per violation
HIPAA Breach: Civil penalties and corrective plans
Contract Risk: Disclosure contrary to contract may void rights
Evidence Gaps: Missing records reduce enforceability in disputes
