What the Legal Prosecution and Fee Agreement Is

A Legal Prosecution and Fee Agreement is a written contract between a client and an attorney or law firm that defines the scope of prosecuting a legal claim, sets the fee arrangement (hourly, contingency, hybrid), and allocates costs and client responsibilities. It typically addresses retainer amounts, billing cycles, expense reimbursement, settlement authority, conflict disclosures, termination rights, and procedures for resolving fee disputes. This guide explains the document’s purpose, required fields, execution options including electronic signatures under U.S. law, and best practices for filing and long-term retention of the signed agreement.

Why a Clear Fee Agreement Matters

A precise Legal Prosecution and Fee Agreement reduces billing disputes, clarifies settlement and withdrawal authority, and documents client consent to fee terms. Electronic execution is generally enforceable under the ESIGN Act (15 U.S.C. ch. 96) and UETA, subject to statutory exceptions.

Why a Clear Fee Agreement Matters

Who Typically Signs or Prepares This Agreement

Typical parties who draft, review, or sign this agreement include clients, lead counsel, co-counsel, and third-party payors.

  • Individual clients or plaintiffs who retain counsel for civil or administrative claims.
  • Law firms and solo practitioners acting as lead or co-counsel on prosecution matters.
  • Third-party funders, insurers, or corporate legal departments that approve fees and costs.

Confirm the signer role and authority before execution to avoid later enforceability or billing disputes.

Representative Roles and Responsibilities

Lead Counsel

The attorney or law firm identified as lead counsel has primary authority to prosecute the claim, manage litigation strategy, and bill the client according to the agreement. The agreement should specify signing authority for settlement and consent to incur costs.

Client Representative

The client signatory is the person or corporate officer authorized to bind the client to fee terms, settlement authority limits, and payment obligations. Identification should match government ID or corporate formation documents.

Core Elements Every Professional Agreement Should Include

A professionally drafted Legal Prosecution and Fee Agreement balances case scope, fee mechanics, and client protections to reduce later disputes and regulatory risk.

Scope of Representation

Define the precise legal matter, jurisdictions, and stages covered (investigation, pretrial, trial, appeal). Specify any excluded matters and whether related claims or counterclaims are included to avoid ambiguity about representational duties.

Fee Structure

State whether fees are hourly, contingency, fixed, or hybrid. Include precise percentages, caps, sliding scales, or blended rates, and explain how fees change if the matter settles versus proceeds to trial or appeal.

Retainer and Trust

Specify retainer amount, trust account handling, conditions for replenishment, and procedures for withdrawal of fees from client trust in compliance with state bar rules and trust accounting requirements.

Costs and Expenses

List chargeable expenses (filing fees, expert fees, courier, deposition costs) and whether the client pays as incurred or reimburses upon invoice or settlement; address advances, accounting, and dispute resolution.

Settlement Authority

Document who may accept settlement or compromise, any monetary thresholds requiring client approval, and steps for consulting the client prior to settlement to avoid unauthorized resolutions.

Termination and Refunds

Describe termination rights for both parties, notice requirements, handling of earned fees and unearned retainer, file transfer procedures, and dispute resolution for fee conflicts (mediation, arbitration, court).

Security and Compliance Considerations

Encryption: TLS 1.2/1.3 in transit; AES-256 at rest
Audit Trail: Timestamps, IP addresses, and action logs
Access Controls: Role-based access and multi-factor options
HIPAA Considerations: BAA required for PHI in healthcare matters
Regulatory Standards: ESIGN, UETA, 21 CFR Part 11 compliance options
Retention Controls: Immutable copies and exportable records

Step-by-Step: Completing the Agreement

Follow these steps to prepare, approve, sign, and store the Legal Prosecution and Fee Agreement correctly.

  • 01
Draft Document: Populate scope, fees, retainer, and expense terms.
  • 02
Internal Review: Have counsel and billing verify terms and compliance.
  • 03
Execute Signatures: Obtain all required signatures and date the agreement.
  • 04
Distribute and Store: Provide copies to parties and retain per retention rules.

How to Configure an Online Signing Workflow

Set up a digital workflow that assigns signer order, authentication, and required fields before sending the agreement for signature.

Field Configuration
Template Name Use a clear name identifying matter and client
Signer Order Define lead counsel, client, co-counsel sequence

Retainer Field Include dollar field and payment instructions

Where to Send and How the Agreement Flows

  • Upload Document: Upload final PDF or DOCX to your signing platform.
  • Place Fields: Add signature, date, and checkbox fields for disclosures.
  • Send to Signers: Send in defined signer order with authentication.
  • Distribute Completed Copy: Provide all parties with the executed agreement and audit log.

Digital Signing and System Requirements

Confirm the signing platform supports secure PDFs, audit trails, and the authentication level you require.

  • File Formats: PDF and Word (DOCX) supported
  • Integrations: Salesforce, NetSuite, Microsoft 365 integrations
  • Authentication: Email, SMS code, or advanced options

Typical Timelines and Deadlines to Track

Track time-sensitive items tied to the agreement: payments, disclosures, and case milestones to avoid billing or procedural issues.

Retainer Due at Signing:

Require retainer payment or holdback before work begins.

Initial Client Meeting:

Schedule within 7 calendar days of execution.

Pleadings and Filings:

Draft and file responsive pleadings per court schedule.

Billing Cycle:

Define monthly or milestone invoicing periods.

Statute of Limitations:

Varies by claim and state — verify immediately.

Common Errors to Avoid

  • Vague fee language that omits how disbursements and costs reduce recovery and generate disputes.
  • Failing to document settlement authority and monetary thresholds for client approval.
  • Not specifying retainer trust handling and replenishment terms, causing trust accounting breaches.
  • Using initials or informal acknowledgements when full signatures and dated blocks are required for enforceability.

Key Risks and Potential Consequences

Fee Disputes: Billing disputes can lead to arbitration or court proceedings
Ethics Violations: Improper trust handling may trigger bar discipline
Missed Deadlines: Failure to file or preserve claims risks dismissal
Tax Exposure: Incorrect reporting of settlements can create IRS issues
Enforceability Risk: Ambiguous terms may render provisions unenforceable
Invalid Signature: Improper execution can void the agreement
