LEGAL PROTECTION WAIVER

This Legal Protection Waiver (the "Waiver") is made and entered into as of Effective Date: by and between Releasor: and Releasee: .

RECITALS

WHEREAS, Releasor has engaged or will engage Releasee to provide certain services, activities, or services-related access identified herein and desires to limit legal exposure in respect of those activities; and

WHEREAS, Releasee has agreed, as a condition of performance, to accept the release and indemnification described in this Waiver in exchange for valuable consideration; and

WHEREAS, the parties intend by this Waiver to resolve and prevent disputes, and to allocate the risks between them in accordance with the terms below.

NOW, THEREFORE, in consideration of the mutual covenants and other good and valuable consideration, the receipt and sufficiency of which are hereby acknowledged, the parties agree as follows:

1. WAIVER AND RELEASE

Releasor, on behalf of itself and its successors, assigns, agents, representatives, heirs and next of kin, hereby irrevocably and unconditionally releases, waives and forever discharges Releasee and its officers, directors, employees, agents, contractors and insurers (collectively, "Released Parties") from any and all claims, causes of action, liabilities, demands, losses, damages, costs and expenses of any kind or nature, whether known or unknown, asserted or unasserted, arising out of or in any way connected with the activities described in Section 2 below and any acts or omissions of the Released Parties, including without limitation claims arising from negligence, breach of contract, strict liability, or statutory liability, except to the extent such claims arise from the gross negligence or willful misconduct of Releasee.

The foregoing release and waiver applies to activities, services, locations and interactions described as follows:

Releasor acknowledges that participation in the activities identified above may involve inherent risks, hazards and dangers which may result in personal injury, property damage, death or other loss. Releasor knowingly and voluntarily assumes all such risks, whether foreseen or unforeseen, and accepts sole responsibility for any injury or damage sustained.

4. INDEMNIFICATION

Releasor shall indemnify, defend and hold harmless the Released Parties from and against any and all claims, liabilities, losses, damages, costs and expenses (including reasonable attorneys' fees and court costs) arising out of or resulting from Releasor's acts or omissions, breach of this Waiver, or violation of applicable law in connection with the activities covered by this Waiver. The obligation to indemnify shall not apply to claims determined by final adjudication to have been caused solely by the gross negligence or willful misconduct of Releasee.

5. CONSIDERATION

Releasor acknowledges receipt of the consideration described above and agrees that such consideration is adequate and constitutes sufficient inducement for the promises and waivers contained herein.

6. NO ADMISSION OF LIABILITY

The parties agree that this Waiver does not constitute an admission of liability by any party. The terms of this Waiver are intended to settle and allocate risk, and shall not be construed as an admission of fault or wrongdoing by Releasee.

7. CONFIDENTIALITY

All terms of this Waiver and any non-public information exchanged between the parties in connection with the activities covered hereby shall be treated as confidential and shall not be disclosed to third parties except as required by law, or with the prior written consent of the other party. Notwithstanding the foregoing, either party may disclose the terms of this Waiver to its legal or financial advisors who agree to be bound by confidentiality.

8. INSURANCE

Releasee represents that it maintains or will maintain with reputable insurers commercial general liability insurance reasonably appropriate to the activities described herein. Releasor is encouraged to maintain personal accident and property insurance as appropriate. To the extent Releasee fails to carry such insurance, Releasor's waiver and indemnity obligations remain in full force except as limited by applicable law.

9. LIMITATION OF LIABILITY

Except for claims arising from gross negligence or willful misconduct, in no event shall Releasee be liable to Releasor for consequential, incidental, punitive or special damages. The aggregate liability of Releasee for any claim arising out of or in connection with this Waiver shall be limited to .

10. REPRESENTATIONS AND WARRANTIES

Each party represents and warrants that: (a) it has the full right, power and authority to enter into this Waiver and to perform its obligations hereunder; (b) execution and delivery of this Waiver has been duly authorized; and (c) this Waiver constitutes a valid and binding obligation enforceable in accordance with its terms.

11. NOTICES

All notices, requests, consents and other communications required or permitted under this Waiver shall be in writing and shall be deemed to have been duly given when delivered personally, by certified mail (return receipt requested), or by nationally recognized overnight courier to the addresses set forth below or to such other address as a party may designate by notice in accordance with this Section.

12. AMENDMENTS; WAIVER; COUNTERPARTS

This Waiver may not be amended except by a written instrument executed by both parties. No waiver of any breach or default shall be deemed waiver of any other or subsequent breach. This Waiver may be executed in counterparts, each of which shall be deemed an original and all of which together shall constitute one instrument.

13. GOVERNING LAW; SEVERABILITY; ENTIRE AGREEMENT

This Waiver shall be governed by and construed in accordance with the laws of the State of without regard to its conflict of law principles. If any provision of this Waiver is held invalid or unenforceable, the remaining provisions shall remain in full force and effect. This Waiver constitutes the entire agreement between the parties with respect to the subject matter hereof and supersedes all prior and contemporaneous agreements and understandings, whether written or oral.

14. TERM AND TERMINATION

This Waiver is effective as of the Effective Date set forth above and shall remain in effect until or until terminated in accordance with written agreement of the parties. Notwithstanding termination, the waivers, releases and indemnities set forth herein shall survive to the fullest extent permitted by law with respect to claims arising prior to termination.
