RECITALS

WHEREAS, Party A and Party B desire to establish uniform procedures, responsibilities and points of contact for the handling, exchange, preservation and litigation-related management of documents, data and communications arising from matters in which both Parties have a legal interest; and

WHEREAS, the Parties intend for this Protocol to define governance, confidentiality controls, retention obligations, and dispute resolution mechanisms to minimize prejudice, delay and cost in the administration of shared legal matters; and

WHEREAS, the Parties agree that a written Protocol will promote consistent handling of privileged materials, discovery obligations, and communications between counsel and designated representatives.

NOW, THEREFORE, in consideration of the mutual promises and covenants contained herein, the Parties agree as follows.

1. DEFINITIONS

For purposes of this Protocol, the following defined terms shall apply:

"Confidential Information" means all non-public information exchanged under this Protocol that is reasonably designated as confidential, including privileged communications, and other materials for which confidentiality is established under applicable law.

"Protocol Manager" means the individual designated by each Party to coordinate implementation, address questions about practices and to receive Notices under Section 7. Party A Protocol Manager: ; Party B Protocol Manager: .

2. SCOPE AND PURPOSE

2.1 Scope. This Protocol governs the Parties' mutual procedures for identification, preservation, collection, review, production, labeling and return or destruction of documents and data exchanged in connection with shared legal matters, subject to applicable law and court orders. It does not alter substantive rights or defenses in any underlying matter.

2.2 Purpose. The Parties intend to minimize disputes about procedure and timing by memorializing agreed mechanisms for document handling, confidentiality protections and communication between counsel and designated representatives.

3. PROTOCOL GOVERNANCE

3.1 Management. The Protocol Managers will meet, as needed, to resolve operational issues and to review compliance with this Protocol. Decisions of the Protocol Managers shall be recorded in writing and, where they affect substantive rights, shall require authorization by counsel of record.

3.2 Recordkeeping. Each Party shall maintain records of actions taken pursuant to this Protocol sufficient to demonstrate compliance, including logs of productions, privilege logs where required, and notes of communications regarding contested items.

4. ROLES AND RESPONSIBILITIES

4.1 Designated Representatives. Each Party shall identify one or more Designated Representatives authorized to make operational decisions under this Protocol. Party A Representative Name: , Title: ; Party B Representative Name: , Title: .

4.2 Counsel Responsibilities. Counsel for each Party shall: (a) preserve materials reasonably anticipated to be relevant; (b) meet and confer in good faith regarding scope and timing of productions; and (c) implement reasonable protections for privileged and work-product materials.

5. CONFIDENTIALITY AND DATA PROTECTION

5.1 Confidentiality. All Confidential Information exchanged under this Protocol shall be treated in accordance with applicable protective orders or, absent such orders, under commercially reasonable confidentiality protections consistent with professional obligations. Disclosure shall be limited to those with a need to know and who are bound to maintain confidentiality.

5.2 Data Security. Each Party shall implement and maintain administrative, technical and physical safeguards to protect Confidential Information against unauthorized access, disclosure, alteration or destruction. A Party that becomes aware of any unauthorized access or breach affecting Confidential Information shall notify the other Party promptly and cooperate in remediation.

6. DOCUMENT MANAGEMENT AND RETENTION

6.1 Format and Metadata. Unless otherwise agreed, documents produced shall be produced in reasonably usable electronic formats and shall include native metadata fields where necessary to preserve evidentiary value. The Parties will cooperate to identify fields essential to the receiving Party's use.

6.2 Retention Period. Documents produced in the ordinary course shall be retained by the receiving Party for a minimum period of from production, subject to preservation obligations arising from litigation hold or court order.

7. NOTICES

All notices, requests or communications required or permitted under this Protocol shall be in writing and delivered to the Protocol Manager and Counsel for each Party at the addresses set forth below or at such other address as a Party designates by written notice.

8. COMPLIANCE WITH LAW

Each Party shall comply with all applicable laws, regulations and ethical rules in performing its obligations under this Protocol. Where production of material is prohibited by law, the producing Party shall promptly notify the receiving Party and provide sufficient information to permit the receiving Party to assess rights and remedies.

9. AMENDMENT

This Protocol may be amended only by a written instrument signed by authorized representatives of both Parties. Any amendment shall specify the sections amended and the effective date of such amendment.

10. WAIVER

Failure or delay by a Party in exercising any right under this Protocol shall not constitute a waiver of that right unless such waiver is in writing and signed by the Party waiving the right. A waiver of any breach shall not constitute a waiver of any subsequent breach.

11. COUNTERPARTS AND ELECTRONIC SIGNATURES

This Protocol may be executed in counterparts, each of which shall be deemed an original and all of which together shall constitute one instrument. Signatures transmitted by facsimile or electronic image shall be deemed original signatures for all purposes.

12. INDEMNITY AND LIMITATION OF LIABILITY

Each Party shall indemnify, defend and hold harmless the other Party from and against claims arising from its negligent or willful breach of this Protocol. Except for indemnification obligations and willful misconduct, neither Party shall be liable to the other for consequential, incidental or punitive damages.

13. TERMINATION

Either Party may terminate this Protocol upon thirty (30) days' written notice to the other Party. Termination shall not relieve either Party of obligations accrued prior to termination, including preservation duties and confidentiality obligations.

14. DISPUTE RESOLUTION

The Parties shall first attempt in good faith to resolve any dispute under this Protocol through the Protocol Managers. If the dispute is not resolved within twenty (20) days, the Parties agree to submit the matter to non-binding mediation. If mediation fails, the Parties may pursue arbitration or litigation as agreed in writing or as necessary to seek urgent relief.

15. GOVERNING LAW; ENTIRE AGREEMENT; SEVERABILITY

Governing Law: This Protocol shall be governed by and construed in accordance with the laws of without regard to conflict of law principles.

Entire Agreement: This Protocol constitutes the entire agreement between the Parties with respect to its subject matter and supersedes all prior understandings and agreements, whether written or oral.

Severability: If any provision of this Protocol is held invalid or unenforceable, the remaining provisions shall remain in full force and effect and such invalid or unenforceable provision shall be reformed only to the extent necessary to make it enforceable.
