RECITALS

2. AUTHORITY AND SCOPE

Proxy is authorized, subject to the limitations in Section 3, to undertake the following acts on behalf of Principal (select all that apply and describe any additional authorities below):

Represent Principal in litigation, arbitration, administrative proceedings, or dispute resolution processes.

3. LIMITATIONS ON AUTHORITY

Proxy shall not: (a) transfer, mortgage, sell or otherwise dispose of real property of Principal without express written authorization separate from this letter; (b) make gifts on behalf of Principal; (c) change Principal's testamentary documents; or (d) admit liability or enter into settlement obligations exceeding the monetary limit set forth above unless Principal provides written consent. Any act outside the scope of authority shall be voidable by Principal.

4. TERM; TERMINATION; REVOCATION

This appointment commences on the Effective Date and shall continue until: , , unless earlier revoked in writing by Principal or terminated by operation of law. Revocation must be delivered in writing to Proxy and shall be effective upon actual receipt.

5. ACCEPTANCE BY PROXY

7. INDEMNIFICATION

Principal shall indemnify and hold harmless Proxy from and against any losses, claims, liabilities, costs and expenses (including reasonable attorneys' fees) incurred as a result of acts taken in good faith under this Legal Proxy Letter, except to the extent arising from Proxy's gross negligence, willful misconduct or fraud.

8. NOTICES

Any notice required or permitted under this Legal Proxy Letter shall be in writing and delivered by hand, certified mail, or nationally recognized overnight courier to the addresses set forth below or to such other address as either party may designate by written notice to the other.

9. AMENDMENT; WAIVER

10. GOVERNING LAW
