LEGAL PTN AGREEMENT

This Legal PTN Agreement (the "Agreement") is made and entered into as of , by and between Party A: , having its principal address at , and Party B: , having its principal address at .

RECITALS

WHEREAS, Party A is the owner or lawful holder of certain proprietary technology, intellectual property, designs, specifications, know-how and related materials identified collectively as the "PTN" and more particularly described in Schedule A attached hereto or in the Subject Matter field below; and

WHEREAS, Party B desires to acquire, and Party A desires to transfer or grant rights in respect of, certain rights in the PTN upon the terms and conditions set forth in this Agreement; and

WHEREAS, the parties intend that this Agreement define the scope of transfer, the consideration to be paid, and the respective warranties, covenants, and remedies available in the event of breach.

NOW, THEREFORE, in consideration of the mutual covenants and agreements set forth herein, and other good and valuable consideration, the receipt and sufficiency of which are hereby acknowledged, the parties agree as follows:

1. DEFINITIONS

1.1 "PTN" means the tangible and intangible property, designs, specifications, documentation, technical data, source code, firmware, inventions, improvements, patents, patent applications, and trade secrets identified in Schedule A and described in the Subject Matter field of this Agreement.

1.2 "Effective Date" means the date first written above.

3. TRANSFER OF RIGHTS

3.1 Transfer. Subject to the terms and conditions of this Agreement, Party A hereby assigns, transfers and conveys to Party B, and Party B accepts, the rights, title and interest in and to the PTN as set forth in Schedule A, including all associated proprietary information and intellectual property rights to the extent assignable.

3.2 Scope. The transfer effected by this Agreement is limited to the rights expressly described herein. Any rights not expressly granted are retained by Party A.

4. CONSIDERATION

4.1 Payment Terms. Party B shall pay the consideration in accordance with the schedule and method set forth in Schedule B. Payment shall be made in cleared funds to the account designated by Party A. Late payments shall accrue interest at the lesser of 1.5% per month or the maximum rate permitted by applicable law.

5. REPRESENTATIONS AND WARRANTIES

5.1 By Party A. Party A represents and warrants that: (a) it has full power and authority to enter into and perform this Agreement; (b) the PTN is owned or controlled by Party A, free and clear of liens, encumbrances, or third-party rights that would materially impair the transfer; and (c) to the best of Party A's knowledge, the PTN does not infringe any third party intellectual property rights.

5.2 By Party B. Party B represents and warrants that: (a) it has full power and authority to enter into and perform this Agreement; and (b) it will use the PTN in compliance with applicable laws and regulations.

6. CONFIDENTIALITY

6.1 Each party shall hold in confidence and shall not disclose to any third party the confidential information of the other party relating to the PTN, except to the extent necessary for performance under this Agreement or as required by law. The obligations of confidentiality shall survive termination of this Agreement for a period of five (5) years.

7. INDEMNIFICATION

7.1 Each party (the "Indemnifying Party") shall indemnify, defend and hold harmless the other party (the "Indemnified Party") from and against any and all losses, damages, liabilities, costs and expenses (including reasonable attorneys' fees) arising out of any breach of the representations, warranties or covenants made by the Indemnifying Party in this Agreement.

8. LIMITATION OF LIABILITY

8.1 EXCEPT FOR LIABILITY ARISING FROM A PARTY'S GROSS NEGLIGENCE, WILLFUL MISCONDUCT, OR BREACH OF CONFIDENTIALITY, NEITHER PARTY SHALL BE LIABLE FOR SPECIAL, INCIDENTAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, AND EACH PARTY'S AGGREGATE LIABILITY SHALL NOT EXCEED THE AMOUNT OF MONETARY CONSIDERATION ACTUALLY RECEIVED BY PARTY A UNDER THIS AGREEMENT.

9. TERM AND TERMINATION

9.1 Term. This Agreement shall commence on the Effective Date and shall continue until all obligations have been performed or until earlier termination as provided herein.

9.2 Termination for Cause. Either party may terminate this Agreement upon written notice if the other party materially breaches any provision of this Agreement and fails to cure such breach within thirty (30) days following receipt of written notice specifying the breach.

10. NOTICES

All notices, requests, consents and other communications required or permitted under this Agreement shall be in writing and delivered to the parties at the addresses set forth below or to such other address as a party may specify by written notice. Notices shall be deemed given upon receipt.

11. AMENDMENT, WAIVER, COUNTERPARTS

11.1 Amendment. This Agreement may be amended only by a written instrument signed by both parties.

11.2 Waiver. No failure or delay by either party in exercising any right shall operate as a waiver of that right.

11.3 Counterparts. This Agreement may be executed in counterparts, each of which shall be deemed an original and all of which together shall constitute one instrument.

12. GOVERNING LAW; ENTIRE AGREEMENT; SEVERABILITY

12.1 Governing Law. This Agreement shall be governed by and construed in accordance with the laws of without regard to its conflict of laws principles.

12.2 Entire Agreement. This Agreement, together with all Schedules and Exhibits hereto, constitutes the entire agreement between the parties with respect to the PTN and supersedes all prior and contemporaneous agreements and understandings, whether written or oral, relating to the PTN.

12.3 Severability. If any provision of this Agreement is held to be invalid or unenforceable, the remaining provisions shall remain in full force and effect and the invalid or unenforceable provision shall be reformed only to the extent necessary to make it enforceable.
