LEGAL PUBLIC INPUT AGREEMENT

This Legal Public Input Agreement ("Agreement") is entered into as of by and between Public Agency Name: ("Agency") and Contributor Name: ("Contributor"). Agency and Contributor are sometimes referred to herein individually as a "Party" and collectively as the "Parties."

Recitals

WHEREAS, Agency is soliciting public input regarding the matter described as to inform Agency decision-making and record-keeping; and

WHEREAS, Contributor wishes to provide written and/or verbal input to Agency and acknowledges that such input may be retained by Agency as a public record and used in Agency materials and proceedings; and

WHEREAS, the Parties desire to set forth the terms and conditions under which Contributor's input will be submitted, handled, and used by Agency.

NOW, THEREFORE, in consideration of the mutual promises contained herein and other good and valuable consideration, the receipt and sufficiency of which are hereby acknowledged, the Parties agree as follows:

1. Definitions

For purposes of this Agreement, the following terms shall have the meanings set forth below:

"Input" means any comments, written materials, recordings, data, images, plans, proposals, or other materials submitted by Contributor to Agency in connection with the Project, regardless of format or medium.

"Confidential Information" means only that Input expressly and in writing designated by Contributor as confidential at the time of submission and accompanied by a concise statement of the legal basis for confidentiality.

2. Purpose and Scope of Public Input

Contributor submits Input for the following purpose(s):

Contributor acknowledges that Agency has full discretion to consider, accept, modify, or reject Input and that submission of Input does not create a duty to adopt any portion of such Input.

3. Submission Process and Format

Contributor shall submit Input in the manner and by the deadline specified by Agency. If no specific deadline is provided, Input shall be delivered to Agency at Contributor's earliest convenience. Contributor's preferred method of submission:

4. Ownership; License to Use Input; Public Record

Contributor represents and warrants that Contributor is the sole author or has full authority to grant the rights below. Contributor hereby grants to Agency a perpetual, irrevocable, worldwide, royalty-free, transferable, sublicensable license to reproduce, distribute, display, perform, create derivative works of, and otherwise use the Input, in whole or in part, in any medium now known or later developed, for any purpose related to Agency's business, including but not limited to publications, reports, hearings, records, and public communications.

Contributor acknowledges that Input is subject to Agency's obligations under applicable public records law and that, except as provided in Section 5, the Input may be retained and disclosed by Agency.

5. Confidentiality and Requests for Non-Disclosure

To the extent Contributor seeks to designate any portion of the Input as Confidential Information, Contributor must (a) clearly label the exact portion "CONFIDENTIAL" at the time of submission; and (b) provide a written statement identifying the legal basis for confidentiality. Merely marking an entire submission as confidential without reference to a legal basis is insufficient.

Contributor understands and agrees that Agency is not required to keep materials confidential absent a clear legal basis and that Agency may disclose Confidential Information if required by law, court order, or with Contributor's consent.

6. Data Protection

Contributor is responsible for ensuring that any personal data contained in Input is provided in compliance with applicable data protection laws. Agency will process personal data contained in Input in accordance with its legal obligations. Contributor confirms that any personal data provided about third parties complies with privacy and consent requirements.

7. Representations and Warranties

Contributor represents and warrants that: (a) Contributor has all rights, licenses, and permissions necessary to grant the license in Section 4; (b) the Input does not infringe or misappropriate any intellectual property, privacy, or other rights of any third party; and (c) the Input does not contain defamatory, unlawful, or otherwise actionable material.

8. Indemnification

Contributor shall indemnify, defend, and hold harmless Agency, its officers, employees, agents, and contractors from and against any and all claims, liabilities, losses, damages, costs and expenses (including reasonable attorneys' fees) arising out of or connected with Contributor's breach of this Agreement, including any claim that Contributor's Input infringes the rights of a third party.

9. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL EITHER PARTY BE LIABLE TO THE OTHER FOR INDIRECT, INCIDENTAL, SPECIAL, PUNITIVE, OR CONSEQUENTIAL DAMAGES ARISING OUT OF OR RELATED TO THIS AGREEMENT, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. THE AGGREGATE LIABILITY OF AGENCY FOR DIRECT DAMAGES ARISING OUT OF OR RELATED TO THIS AGREEMENT SHALL NOT EXCEED ONE THOUSAND DOLLARS (USD 1,000), EXCEPT IN CASES ARISING FROM WILLFUL MISCONDUCT OR GROSS NEGLIGENCE.

10. Term; Termination

This Agreement shall commence on the Effective Date set forth above and shall remain in effect until all Input has been processed and retained according to Agency policy, unless earlier terminated by either Party upon thirty (30) days' written notice. Termination shall not relieve Contributor of obligations accrued prior to termination, including indemnification obligations.

11. Notices

All notices and communications required or permitted under this Agreement shall be in writing and delivered to the addresses set forth below or to such other address as a Party may specify in writing.

12. Amendments; Waiver

No amendment or modification of this Agreement shall be effective unless made in writing and signed by authorized representatives of both Parties. No waiver of any term or condition of this Agreement shall be deemed a waiver of any other term or subsequent breach, unless expressly set forth in writing and signed by the waiving Party.

13. Governing Law; Venue

This Agreement shall be governed by and construed in accordance with the laws of the state or jurisdiction in which Agency maintains its principal office, without regard to conflict of law principles. The Parties submit to the exclusive jurisdiction of the state and federal courts located in that jurisdiction for the resolution of disputes arising under this Agreement.

14. Entire Agreement; Severability

This Agreement constitutes the entire agreement between the Parties with respect to the subject matter hereof and supersedes all prior and contemporaneous agreements, understandings, negotiations, and discussions, whether oral or written. If any provision of this Agreement is held to be invalid, illegal or unenforceable, such provision shall be severed and the remaining provisions shall continue in full force and effect.

15. Counterparts

This Agreement may be executed in one or more counterparts, each of which shall be deemed an original, and all of which together shall constitute one and the same instrument. Signatures delivered by electronic or facsimile transmission shall be treated as original signatures.

16. Contributor Certification

By signing below, Contributor certifies that the information provided in connection with this Agreement and any submitted Input is true and accurate to the best of Contributor's knowledge, that Contributor has read and understands this Agreement, and that Contributor has authority to enter into this Agreement.
