LEGAL PUBLICITY WAIVER

This Legal Publicity Waiver (the "Waiver") is made effective as of by and between Releasor Name: with address: and Releasee Name: with address: .

RECITALS

WHEREAS, Releasor has participated in or contributed to certain recordings, photographs, video, audio, interviews, performances, statements and other materials described below (collectively, the "Materials");

WHEREAS, Releasee desires to use, reproduce, distribute and publicly display the Materials for promotional, advertising, marketing, commercial and other lawful purposes in connection with Releasee's business; and

WHEREAS, Releasor is willing to grant Releasee the rights set forth in this Waiver in consideration of the mutual promises and other good and valuable consideration set forth below.

NOW, THEREFORE, in consideration of the mutual covenants and other good and valuable consideration, the parties agree as follows:

1. Grant of Rights

Releasor hereby irrevocably grants to Releasee and Releasee's successors, licensees, assigns and designees a perpetual, worldwide, royalty-free, transferable, sublicensable right and license to use, reproduce, distribute, perform, display, publish, modify, create derivative works of, and otherwise exploit Releasor's name, voice, likeness, image, biographical information and the Materials, in any and all media now known or hereafter developed, for any purpose including, without limitation, advertising, promotional, commercial, editorial and trade purposes (the "Permitted Uses").

2. Description of Materials; Scope

The rights granted herein include the right to edit, crop, composite, and otherwise alter the Materials, and to combine the Materials with other material and advertising copy. Releasee shall have no obligation to use the Materials or any portion thereof.

3. Consideration

Releasor acknowledges receipt of good and valuable consideration, the sufficiency of which is hereby acknowledged, and agrees that, except as otherwise set forth in writing, no additional compensation will be due in connection with Releasee's Permitted Uses of the Materials.

4. Term and Territory

This Waiver is effective as of the Effective Date and shall continue for the duration specified below. Unless a limited term is elected in writing, the license granted herein shall be perpetual and worldwide.

5. Release and Indemnification

Releasor hereby forever releases and discharges Releasee and its officers, directors, employees, agents, licensees and assigns from any and all claims, demands, causes of action, damages, liabilities and expenses (including reasonable attorneys' fees) that Releasor may have now or in the future arising out of or relating to Releasee's Permitted Uses of the Materials, including claims for invasion of privacy, defamation, false light, infringement of publicity or moral rights, or any other cause of action arising under statute, common law or equity, except to the extent resulting from Releasee's willful misconduct.

Releasor shall defend, indemnify and hold Releasee harmless from and against any third-party claims arising out of Releasor's breach of this Waiver, including claims that the Materials infringe rights of a third party or that Releasor lacked authority to grant the rights herein.

6. Representations and Warranties

Releasor represents and warrants that Releasor is the sole author and owner of the rights granted herein or has obtained all consents necessary to grant such rights, that Releasor is not bound by any contractual or legal restriction that would prevent performance under this Waiver, and that the execution and performance of this Waiver will not violate any agreement with any third party.

Releasor represents that Releasor is at least 18 years of age and has the full right and authority to enter into this Waiver.

7. Credit and Attribution

Unless otherwise agreed in writing, Releasee is not obligated to provide credit, attribution or royalties for any use of the Materials. If credit is required, specify format and placement below.

8. Confidentiality

The parties acknowledge that nothing in this Waiver imposes a confidentiality obligation with respect to Publicity Materials used pursuant to the Permitted Uses, unless otherwise agreed in writing.

9. Notices

All notices required or permitted under this Waiver shall be in writing and delivered to the addresses set forth below or to such other address as a party may designate by written notice.

10. Governing Law; Venue

This Waiver shall be governed by and construed in accordance with the laws of the state indicated below, without regard to conflict of laws principles. The parties submit to the exclusive jurisdiction of the state and federal courts located in that state with respect to any dispute arising out of or relating to this Waiver.

11. Miscellaneous

Entire Agreement: This Waiver constitutes the entire agreement between the parties with respect to the subject matter hereof and supersedes all prior and contemporaneous agreements, understandings and communications.

Amendments; Waiver: No amendment or waiver of any provision of this Waiver will be effective unless in writing and signed by both parties. No failure or delay in exercising any right will constitute a waiver.

Severability: If any provision of this Waiver is held invalid or unenforceable, the remaining provisions will continue in full force and effect and the invalid provision will be reformed to the minimum extent necessary to make it enforceable.

Assignment: Releasee may assign this Waiver or any rights granted hereunder without Releasor's consent. Releasor may not assign rights or obligations under this Waiver without Releasee's prior written consent.

Counterparts: This Waiver may be executed in counterparts, each of which will be deemed an original, and all of which together will constitute one and the same instrument.

Releasor acknowledges that Releasor has read this Waiver, understands its contents, has had an opportunity to seek independent advice, and signs it voluntarily.
