LEGAL PUBLISHING SPLIT SHEET

This Publishing Split Sheet (the "Agreement") is made and entered into as of the Effective Date: by and between Party A: with address ; and Party B: with address .

RECITALS

WHEREAS, the Parties have collaborated in the creation, composition, and/or production of a musical composition and related lyrics and sound recordings (the "Composition"); and

WHEREAS, the Parties desire to set forth and confirm the respective ownership percentages, publishing administration rights, credit attribution, and accounting procedures with respect to the Composition; and

WHEREAS, the Parties intend for this Agreement to serve as a record of agreed splits and as an allocation instrument for registration with performance rights organizations, mechanical licensing agents, and digital service providers.

NOW, THEREFORE

In consideration of the mutual covenants set forth herein and other good and valuable consideration, receipt of which is hereby acknowledged, the Parties agree as follows:

1. DEFINITIONS

For purposes of this Agreement, the following terms shall have the meanings indicated: "Composition" means the musical work identified in Section 2; "Copyright Interest" means the respective fractional ownership interests in the Composition; "Publishing Rights" means the exclusive right to license, exploit, administer and collect revenues associated with the Composition, whether mechanical, performance, synchronization, digital or otherwise; and "Net Receipts" means gross receipts actually received by an administering party less customary third-party deductions such as bank fees, collection agent commissions, and statutory mechanical deductions.

3. ALLOCATION OF COPYRIGHT INTERESTS AND SPLITS

The Parties hereby confirm that the total ownership of the Composition is allocated among the contributors listed above. Each contributor's share as set forth in this Agreement constitutes their respective copyright ownership interest in the Composition. The Parties acknowledge and agree that the shares specified are calculated on a per-composition basis and that, unless otherwise agreed in writing, all splits shall sum to 100% of the copyright interest in the Composition.

4. PUBLISHING ADMINISTRATION

The Parties designate the following administering publisher or administrator for the Composition. The administrator shall have authority to register the Composition with performance rights organizations, to license mechanical and synchronization uses on a non-exclusive basis only as authorized herein, to collect Net Receipts and to distribute such Net Receipts in accordance with the splits set forth in Section 3.

The administering party will render accounting statements and pay Net Receipts to the entitled parties no less frequently than every days following receipt, with accompanying documentation specifying amounts, sources, and deductions.

5. CREDITS AND REGISTRATIONS

The Parties agree that all uses of the Composition shall include appropriate credits reflecting the contributors and their respective shares. The Parties authorize the administering party to register the Composition, and to make any necessary amendments to registrations, with performance rights organizations, mechanical rights agencies, and other relevant collecting societies in accordance with the splits documented in this Agreement.

6. REPRESENTATIONS, WARRANTIES AND COVENANTS

Each Party represents and warrants that: (a) it is the lawful owner, or has authority to bind the owner, of the rights it purports to grant; (b) the Composition is original to the extent represented and does not infringe any third party's rights; (c) there are no outstanding agreements, options, liens, or encumbrances that would conflict with the rights granted herein; and (d) it will execute and deliver such further instruments and take such further actions as reasonably required to effectuate the intent and provisions of this Agreement.

7. INDEMNIFICATION

Each Party agrees to indemnify, defend and hold harmless the other Party from and against any and all claims, losses, liabilities, damages, costs and expenses (including reasonable attorneys' fees) arising out of any breach of such Party's representations, warranties or covenants contained in this Agreement, except to the extent resulting from the other Party's gross negligence or willful misconduct.

8. NOTICES

All notices required or permitted under this Agreement shall be in writing and delivered to the addresses set forth below (or to such other address as a Party may specify in writing).

9. ASSIGNMENT

Neither Party may assign or transfer any of its rights or obligations under this Agreement without the prior written consent of the other Party; provided, however, that either Party may assign its right to receive payments to a successor or an entity controlled by it so long as such assignment does not alter the substantive rights and obligations of the Parties with respect to the Composition.

10. GOVERNING LAW; ENTIRE AGREEMENT; SEVERABILITY

This Agreement shall be governed by and construed in accordance with the laws of the state of without regard to conflict of laws principles. This Agreement contains the entire understanding of the Parties with respect to the subject matter hereof and supersedes all prior agreements and understandings, oral or written. If any provision of this Agreement is held invalid or unenforceable, the remaining provisions shall remain in full force and effect.

11. AMENDMENTS; WAIVER; COUNTERPARTS

No amendment or waiver of any provision of this Agreement shall be effective unless in writing and signed by both Parties. Failure to enforce any right or provision shall not constitute a waiver of such right or provision. This Agreement may be executed in counterparts, each of which shall be deemed an original and all of which together shall constitute one and the same agreement.
