LEGAL PURCHASE AGREEMENT ADDENDUM

RECITALS

If the Agreement's purchase price or allocation of consideration is modified, the amended consideration shall be as set forth below and shall be binding upon the parties as consideration for this Addendum.

Unless expressly modified herein, allocation of taxes, recording fees, transfer taxes, and other closing costs shall remain as set forth in the Agreement. Any deviation from the Agreement shall be stated expressly in this Addendum.

8. NOTICES

Notices required or permitted under this Addendum shall be given in the manner set forth in the Agreement, to the addresses set forth below (or other addresses provided in writing pursuant to the Agreement).

9. GOVERNING LAW; VENUE

This Addendum shall be governed by and construed in accordance with the laws of the jurisdiction governing the Agreement. The parties submit to the exclusive jurisdiction and venue of the courts specified in the Agreement for any dispute arising out of or relating to this Addendum.

10. ENTIRE AGREEMENT; SEVERABILITY

This Addendum, together with the Agreement (as amended), constitutes the entire agreement between the parties concerning the subject matter hereof. If any provision of this Addendum is held invalid or unenforceable, the remaining provisions shall continue in full force and effect.

11. AMENDMENT; WAIVER; COUNTERPARTS

This Addendum may be amended only by a written instrument executed by both parties. No waiver of any provision of this Addendum shall be effective unless in writing and signed by the party against whom the waiver is asserted. This Addendum may be executed in counterparts, each of which shall be deemed an original.
