LEGAL PURCHASE AUTHORIZATION

This Legal Purchase Authorization ("Authorization") is made effective as of , by and between Authorizing Party: located at , and Authorized Purchaser: , located at .

RECITALS

WHEREAS, Authorizing Party desires to delegate purchasing authority for certain goods and services on the terms set forth in this Authorization; and

7.2 Authorizing Party represents and warrants that it has the authority to delegate purchasing power to Authorized Purchaser as set forth herein and that funds are available to satisfy properly documented obligations incurred under this Authorization.

8. Indemnification and Liability

8.1 Authorized Purchaser shall indemnify, defend and hold harmless Authorizing Party from and against any and all claims, liabilities, losses, costs and expenses (including reasonable attorneys' fees) arising out of Authorized Purchaser's breach of this Authorization, negligence, or willful misconduct.

8.2 Except for liability arising from gross negligence or willful misconduct, neither party shall be liable for indirect, incidental, consequential or punitive damages arising under this Authorization.

9. Term and Termination

9.1 This Authorization shall commence on the Effective Date and remain in effect until , unless earlier terminated in accordance with this Section.

9.2 Either party may terminate this Authorization for convenience upon ten (10) days' prior written notice to the other party. Termination shall not relieve either party of obligations accrued prior to the effective date of termination.
