What a Legal Purchaser's Undertaking Is

A Legal Purchaser's Undertaking is a written commitment by a buyer promising to satisfy specified obligations tied to an acquisition, typically used in real estate, asset purchases, or tender processes. It sets out purchaser responsibilities — payment, escrow instructions, indemnities, and timelines — and creates an enforceable contractual promise when signed by authorized parties. Electronic execution is generally permitted under the federal ESIGN Act (15 U.S.C. ch. 96) and state UETA laws, subject to statutory exceptions such as testamentary documents and certain court filings.

Why a Purchaser's Undertaking Matters

A clear undertaking reduces closing delays, defines liability, and preserves remedies for sellers and escrow agents. Properly executed undertakings are admissible and enforceable under ESIGN (15 U.S.C. §7001) and UETA when intent, consent, attribution, and retention requirements are met.

Why a Purchaser's Undertaking Matters

Who Typically Prepares and Signs This Undertaking

Common participants who prepare, review, or sign a Legal Purchaser's Undertaking include transactional buyers, counsel, and closing professionals.

  • Individual purchasers and buyers' representatives who accept purchase obligations and indemnities on behalf of the buyer.
  • Corporate officers or authorized signatories executing on behalf of entities, often after legal or board approval.
  • Escrow officers, title agents, and closing attorneys who receive, review, and record the undertaking in closing files.

Each party's role affects required fields, authentication level, and whether notarization or witnesses are necessary under state rules.

Step-by-step: Completing the Undertaking

Follow a consistent sequence to reduce errors and ensure enforceability when preparing or signing a Purchaser's Undertaking.

  • 01
Prepare: Assemble buyer details, purchase description, payment terms, and any escrow instructions.
  • 02
Review: Have counsel verify obligations, representations, and governing law before signature.
  • 03
Authenticate: Choose electronic authentication or notarization as required by jurisdiction or transaction.
  • 04
Deliver: Send executed copies to seller, escrow agent, and retain a certified copy for records.

Core Components of a Professional Undertaking
