What a Legal Put Agreement Is and When It Applies

A Legal Put Agreement is a contract that gives one party the right to compel another party to buy a specified asset at a pre‑agreed price or on agreed terms. It defines the parties, the asset subject to the put, the strike price or valuation method, the exercise window, notice procedures, and any conditions precedent. Put agreements commonly appear in private purchase arrangements, shareholder exit mechanics, and certain real estate or finance transactions. Properly drafted, they allocate risk, create a clear exit path, and set remedies for nonperformance under contract law.

Why a Clear Put Agreement Matters

A well‑drafted Legal Put Agreement preserves optionality and liquidity, limits dispute risk by fixing exercise mechanics and valuation, and clarifies remedies and timing so parties know their rights and obligations if a sale is required.

Why a Clear Put Agreement Matters

Who Typically Drafts and Signs Put Agreements

The Legal Put Agreement is used by varied parties who need a forced‑sale mechanism or exit certainty.

  • Founders and shareholders managing exit rights, buyouts, or minority investor protections in private companies.
  • Institutional investors, private equity firms, and venture funds using puts to secure liquidity or downside protection.
  • Lenders or creditors who incorporate put rights as part of secured financing or workout arrangements.

Identifying the correct signers and roles up front reduces later enforcement and tax complications.

Common Signer Types

Company Founder

A founder signs as grantor of the put or as the party receiving put protection; accuracy of legal entity name and capacity is essential to avoid enforceability issues and tax reporting mismatches.

Investor Representative

An institutional investor signs as grantee or assignee; confirm authorized signatory, entity structure, and any required board resolutions or fund manager confirmations before execution.

Core Elements Every Professional Put Agreement Should Include

Include clear, standalone clauses for timing, price, notice, and remedies so the put can be exercised and enforced without ambiguity.

Exercise Period

Define the exact start and end dates or a triggering event that permits the holder to deliver an exercise notice, and specify time zones for deadlines.

Strike Price

Specify a fixed price, formula, appraisal method, or valuation mechanics; include tie‑breakers for disputes and allocation of appraisal costs.

Asset Description

Identify the asset precisely (shares by class and series, units, or property legal description) to avoid transfer disputes or unintended inclusions.

Exercise Notice

Set the required content, delivery method, and recipient for notice (email, registered mail, eSignature delivery), and state when notice is effective.

Conditions Precedent

List conditions that must be satisfied before closing, including regulatory approvals, third‑party consents, and absence of material breaches.

Remedies & Closing

Spell out remedies for nonperformance (specific performance, damages), closing timeline, and procedures for funds transfer and title/stock delivery.

Stepwise Process to Prepare and Execute the Put Agreement

Follow these sequential steps to ensure the agreement is complete, signed, and enforceable.

  • 01
Review Terms: Confirm exercise mechanics and valuation are clear.
  • 02
Populate Fields: Enter party names, asset details, price, and dates accurately.
  • 03
Approve Signatories: Obtain board resolutions or authorizations if required.
  • 04
Sign and Record: Execute, notarize if needed, and store signed originals.

Digital Workflow Settings for eExecution and Tracking

Configure a signing workflow that preserves intent, attribution, and a complete audit trail for each signer.

Field Configuration
Authentication Email link or SMS code; use stronger ID checks for high value
Signing Order Sequential or parallel signer order as required by parties
Attachments Attach exhibits, board resolutions, or tax forms
Notifications Automatic reminders and completion notice to all parties

Typical Online Execution Flow

A standard eExecution workflow simplifies delivery, authentication, signing, and record capture for the put agreement.

  • Upload Document: Place the agreement file into the signing platform.
  • Place Fields: Add signature, date, and initial fields for each signer.
  • Send to Signers: Distribute by email link with authentication.
  • Capture Audit Trail: System records timestamps, IP, and actions for each signer.

Technical and File Requirements for eSubmission

Choose a platform that accepts common document formats, preserves original formatting, and creates a robust audit trail.

  • File Formats: PDF, DOCX supported
  • Integrations: CRM and cloud storage connectors
  • Auth Methods: Email, SMS, KBA, or SSO

Key Dates and Timeframes to Document

Track critical dates in the put agreement to ensure timely notices, funding, and recordkeeping.

Effective Date:

Date the agreement takes legal effect and obligations begin.

Exercise Window:

Start and end dates when the put may be exercised.

Notice Period:

Amount of advance notice required to exercise the put.

Closing Deadline:

Date by which the buyer must fund and transfer title or securities.

Retention Deadline:

Record retention start tied to effective or filing date.

Common Preparation Errors to Avoid

  • Using imprecise valuation formulas that leave material inputs undefined and trigger disputes or costly appraisals.
  • Failing to match legal entity names to formation or tax documents, resulting in transfer or tax reporting errors.
  • Omitting notice mechanics or delivery methods so exercises are contested as untimely or defective.
  • Neglecting required corporate approvals or resolutions, which can render a purported signature voidable.

Primary Legal Risks and Consequences

Breach Damages: Monetary damages for nonperformance
Specific Performance: Court‑ordered enforcement possible
Tax Liability: Capital gains or withholding risks
Regulatory Risk: Securities or reporting violations
Invalidity: Execution defects may void agreement
Enforcement Costs: Attorney fees and litigation expense

Real‑World Examples of Put Agreements in Practice

Case examples illustrate how parties use put agreements to manage exits, liquidity, and risk across transactions.

Optica Ventures

Optica structured a founder put to guarantee a minimum exit value for early investors

  • The put used a fixed strike with an appraisal fallback
  • The result was clearer exit mechanics and fewer valuation disputes during a subsequent financing round.

Martin Properties

A real estate developer included a buyer put to transfer unsold parcels at a floor price

  • The put required notarized exercise notices and escrow funding
  • That framework preserved project cashflow and sped disposition in a market downturn.

Practical Drafting Tips for a Reliable Put Agreement

Follow these drafting practices to reduce ambiguity, preserve enforceability, and lower execution friction.

Define Valuation Precisely
Use a clear formula or appraisal process, name the appraiser selection method, and allocate appraisal costs to avoid later disputes over price.
Specify Notice Mechanics
State acceptable delivery methods, effective times, and required notice content so exercises are not invalidated by technical defects.
Confirm Authority
Require evidence of corporate authorization or fund manager signatory power to preempt challenges to the signature’s validity.
Preserve Audit Trail
Use an eSignature platform that captures timestamps, IP addresses, and signer attribution to support enforcement if contested.
