LEGAL QRO FORM

This Qualified Retirement Order (the "Order") is entered into as of Effective Date: by and between Participant Name: (hereinafter "Participant") and Alternate Payee Name: (hereinafter "Alternate Payee").

RECITALS

WHEREAS, Participant has or had an interest in the employee benefit plan identified below; and

WHEREAS, Alternate Payee asserts an entitlement, by reason of a marital, property, or other legally cognizable interest, to receive a portion of Participant's benefits under such plan; and

WHEREAS, the parties desire to establish, by this Order, the rights of the Alternate Payee to receive all or a portion of Participant's benefits under the plan in a manner that complies with applicable law and the terms of the plan.

NOW, THEREFORE

In consideration of the foregoing and the mutual covenants contained herein, the parties agree as follows.

1. DEFINITIONS

For purposes of this Order: (a) "Plan" means the employee benefit plan named below that provides retirement or deferred compensation benefits to Participant; (b) "Plan Administrator" means the entity that administers the Plan; and (c) "Alternate Payee" means the person identified above who is entitled to share in Participant's benefits pursuant to this Order.

2. DETERMINATION OF BENEFIT RIGHTS

The Plan shall deliver to Alternate Payee, subject to the Plan's terms and applicable law, the following interest in Participant's benefits: Type of benefit (select applicable):

3. AMOUNT AND METHOD OF PAYMENT

Payments to Alternate Payee shall be made at the time and in the manner determined by the Plan consistent with this Order. If this Order directs a lump sum or periodic payment, the Plan shall pay the Alternate Payee directly in accordance with the Plan's distribution procedures to the extent permitted by the Plan.

4. TAX WITHHOLDING AND REPORTING

The Plan's obligations to withhold or report taxes on distributions to the Alternate Payee shall be governed by applicable law and the Plan's procedures. To the extent permitted by law, the Plan may withhold federal and state taxes from amounts paid to Alternate Payee in accordance with applicable withholding rules.

5. PLAN ADMINISTRATOR COOPERATION

The Plan Administrator shall accept this Order if it meets the Plan's procedures and applicable law. The Plan Administrator may require administrative directives, certifications, or other documentation reasonably necessary to implement this Order. The parties shall reasonably cooperate with the Plan Administrator to effectuate the directives of this Order.

6. REPRESENTATIONS, WARRANTIES AND COVENANTS

Each party represents and warrants that it has full authority to enter into this Order and that the execution and performance of this Order does not violate any other agreement, court order, or legal obligation applicable to such party. Participant represents that information provided regarding Plan benefits is complete and accurate to the best of Participant's knowledge.

7. ENFORCEMENT; REMEDIES

If a party fails to comply with this Order, the non-breaching party may seek relief in a court of competent jurisdiction to enforce the terms hereof, including injunctive relief and specific performance. The prevailing party in any enforcement action shall be entitled to recover reasonable attorneys' fees and costs.

8. NOTICES

All notices required or permitted under this Order shall be in writing and delivered to the addresses set forth below or such other addresses as a party may designate in writing. Notice is effective upon personal delivery, overnight courier, or three business days after deposit in the United States mail, postage prepaid, certified return receipt requested.

9. AMENDMENTS; WAIVER

This Order may be amended only by a written instrument signed by both parties and approved by the Plan Administrator to the extent required. No waiver of any provision shall be effective unless in writing and signed by the waiving party.

10. GOVERNING LAW; VENUE

This Order shall be governed by and construed in accordance with the laws of the state specified below without regard to principles of conflict of laws. Venue for any action to enforce this Order shall lie in the state and county specified below.

11. ENTIRE AGREEMENT; SEVERABILITY

This Order constitutes the entire agreement between the parties with respect to the subject matter hereof and supersedes all prior agreements and understandings. If any provision of this Order is held to be invalid or unenforceable, the remaining provisions shall remain in full force and effect to the maximum extent permitted by law.

12. OTHER PROVISIONS

The parties acknowledge that the Plan's determination regarding compliance with Plan terms and applicable law is controlling. To the extent that any directive in this Order conflicts with the Plan, the Plan's terms shall govern, and the parties shall cooperate to effectuate the intent of this Order consistent with the Plan.
