LEGAL QUALIFICATION FILING FORM

This Legal Qualification Filing Form (the Agreement) is made and entered into as of by and between Applicant Name: with principal office at (hereinafter "Applicant"), and Filing Agent: with principal office at (hereinafter "Filing Agent").

RECITALS

WHEREAS, Applicant is an entity that seeks to qualify to transact business or to obtain licensure or registration in one or more foreign jurisdictions; and

WHEREAS, Filing Agent maintains experience and licensure to prepare, execute and submit qualification, registration, and related filings on behalf of entities and individuals in the jurisdictions identified below; and

WHEREAS, Applicant desires to engage Filing Agent and Filing Agent agrees to perform such services on the terms and conditions set forth in this Agreement.

NOW, THEREFORE, in consideration of the mutual covenants contained herein, the parties agree as follows:

1. DEFINITIONS

For the purposes of this Agreement, the following terms shall have the meanings set forth below:

"Qualification Documents" means all forms, certificates, powers of attorney, consents, certificates of authority, and other instruments necessary to effect the qualification, registration, or licensure of Applicant in the jurisdictions set forth in Section 3.

2. SCOPE OF SERVICES

Filing Agent shall prepare, complete and file Qualification Documents reasonably necessary to qualify Applicant in the jurisdictions identified by Applicant. Services shall include: (a) preparing documents; (b) reviewing Applicant-provided information for consistency; (c) filing with the appropriate authorities; and (d) furnishing certified copies and evidence of filing to Applicant. Filing Agent shall not provide legal advice beyond the preparation and filing obligations set forth herein unless both parties expressly agree in writing.

3. APPLICANT REPRESENTATIONS AND RESPONSIBILITIES

Applicant represents that all information provided to Filing Agent is true, complete and accurate. Applicant shall timely deliver all documents, certificates, incumbency information and executed originals required for filing. Applicant shall designate a primary contact for delivery of required materials:

4. FEES, COSTS, AND PAYMENT

Applicant shall pay Filing Agent the fees and reimburse expenses as set forth below. Fees are due upon invoice unless otherwise agreed in writing. Filing Agent may require a retainer prior to commencing services.

Late payments accrue interest at a rate of 1.5% per month on unpaid balances, or the maximum permitted by law if less.

5. TIMING; DELIVERY; DOCUMENT RETENTION

Filing Agent will use commercially reasonable efforts to file Qualification Documents within any timeframes agreed in writing. Filing Agent is not responsible for processing delays by governmental authorities. Filing Agent shall deliver copies of filings and certifications to Applicant when received. Applicant acknowledges that Filing Agent may destroy work product and non-original records after a reasonable retention period unless Applicant requests earlier delivery or preservation.

6. AUTHORITY; REPRESENTATIONS; WARRANTIES

Applicant represents that it has full authority to enter into this Agreement and to authorize Filing Agent to execute and deliver the Qualification Documents on Applicant's behalf where such authority is expressly granted in writing. Filing Agent represents that it is authorized to render the services described herein and will comply with applicable professional responsibilities in performing those services. EXCEPT AS EXPRESSLY STATED IN THIS AGREEMENT, FILING AGENT DISCLAIMS ALL OTHER WARRANTIES, EXPRESS OR IMPLIED.

7. INDEMNIFICATION; LIMITATION OF LIABILITY

Applicant shall indemnify, defend and hold Filing Agent harmless from and against any losses, liabilities, costs and expenses (including reasonable attorneys' fees) arising out of (a) Applicant's breach of any representation or warranty; (b) Applicant's failure to provide timely or accurate information; or (c) claims arising from the nature of Applicant's business. Filing Agent's liability for any claim arising out of this Agreement shall be limited to direct damages not to exceed the total fees paid by Applicant to Filing Agent under this Agreement for the specific matter giving rise to the claim. IN NO EVENT SHALL EITHER PARTY BE LIABLE FOR SPECIAL, CONSEQUENTIAL OR PUNITIVE DAMAGES.

8. CONFIDENTIALITY

Each party shall maintain the confidentiality of non-public information obtained in connection with this Agreement and shall not disclose such information except as required by law, or with prior written consent of the other party. Confidentiality obligations shall survive termination of this Agreement.

9. TERMINATION

Either party may terminate this Agreement upon thirty (30) days' written notice to the other party. Upon termination, Applicant shall pay Filing Agent for services performed and expenses incurred through the effective date of termination and shall reimburse Filing Agent for costs reasonably incurred in winding down the matter.

All notices required or permitted under this Agreement shall be in writing and shall be delivered to the addresses set forth below by certified mail, overnight courier, or email with confirmation:

11. AMENDMENTS; WAIVER; COUNTERPARTS

This Agreement may be amended only by a writing signed by both parties. The waiver by either party of any breach shall not be deemed a waiver of subsequent breaches. This Agreement may be executed in counterparts, each of which shall be deemed an original and all of which together shall constitute one and the same instrument.

12. GOVERNING LAW; SEVERABILITY; ENTIRE AGREEMENT

This Agreement shall be governed by and construed in accordance with the laws of without regard to its conflicts of laws principles. If any provision of this Agreement is held invalid or unenforceable, that provision shall be modified to the minimum extent necessary to make it enforceable or, if modification is not possible, severed, and the remaining provisions shall remain in full force and effect. This Agreement constitutes the entire agreement between the parties with respect to its subject matter and supersedes all prior and contemporaneous agreements, representations and understandings.
