RECITALS

WHEREAS, Ordering Party desires to procure the goods and/or services described in this Order and requires that such procurement be performed in accordance with applicable law, regulatory requirements and the specific qualifications set forth herein;

WHEREAS, Supplier represents that it possesses the qualifications, licenses, permits and expertise necessary to supply the goods and/or perform the services in compliance with all legal and contractual obligations;

WHEREAS, the Parties wish to set forth the terms and conditions under which Ordering Party will issue a qualified order and Supplier will perform or deliver the same.

NOW, THEREFORE, in consideration of the mutual covenants contained herein and other good and valuable consideration, the receipt and sufficiency of which are acknowledged, the Parties agree as follows:

1. DEFINITIONS

1.1 "Goods" means the tangible items described in Section 3 of this Order. "Services" means the services described in Section 2. "Qualified" means compliant with the requirements, certifications and qualifications expressly stated in this Order and any applicable law.

2. SCOPE OF ORDER

Supplier shall perform the services and/or deliver the goods as described below in full compliance with the specifications, schedules and qualifications set forth in this Order. The scope includes any ancillary services reasonably necessary for full performance, including testing, documentation and training where applicable.

4. DELIVERY, ACCEPTANCE AND SCHEDULE

Supplier shall deliver Goods and complete Services by the Delivery Date specified below. Acceptance shall occur only after Ordering Party performs the acceptance tests set forth in this Order. Failure to meet delivery schedules constitutes a material breach.

5. COMPLIANCE, QUALIFICATIONS AND CERTIFICATIONS

5.1 Supplier represents and warrants that Supplier holds all licenses, certifications and approvals required to perform this Order. Supplier shall comply with applicable laws, regulations and Ordering Party's written compliance requirements.

6. REPRESENTATIONS AND WARRANTIES

Supplier represents and warrants that: (a) the Goods and Services will conform to the specifications and be free from material defects; (b) Supplier has full authority to enter into this Order and perform its obligations; and (c) performance under this Order will not infringe third-party intellectual property rights.

Unless otherwise agreed in writing, Ordering Party shall pay Supplier within the number of days specified below after Acceptance. Payment is conditioned on Supplier's delivery of proper invoices and any certifications required by this Order.

8. CONFIDENTIALITY

Each Party shall treat all non-public information disclosed in connection with this Order as confidential and shall not disclose such information except as required by law or with the other Party's prior written consent. Confidentiality obligations survive termination of this Order for a period of three (3) years.

9. INDEMNIFICATION

Supplier shall indemnify, defend and hold harmless Ordering Party and its officers, directors and employees from and against any third-party claims, liabilities, losses, damages or expenses arising out of Supplier's breach of this Order, negligence, willful misconduct or infringement of third-party rights, except to the extent caused by Ordering Party's gross negligence or willful misconduct.

10. LIMITATION OF LIABILITY

Except for liability arising from gross negligence, willful misconduct, death or personal injury, or Supplier's indemnification obligations, neither Party shall be liable for consequential, incidental, special or punitive damages. Supplier's aggregate liability for direct damages shall be limited to the total amount paid under this Order.

11. NOTICES

Any notice required or permitted under this Order shall be in writing and delivered to the addresses set forth below by hand, certified mail, or overnight courier, and shall be effective upon receipt.

12. AMENDMENT; WAIVER; COUNTERPARTS

No amendment or waiver of any provision of this Order shall be effective unless in writing and signed by both Parties. A waiver of any breach shall not constitute a waiver of any subsequent breach. This Order may be executed in counterparts, each of which shall be deemed an original but all of which together shall constitute one and the same instrument.

13. GOVERNING LAW; VENUE

This Order shall be governed by and construed in accordance with the laws of the jurisdiction specified below without regard to conflict of laws principles. The Parties submit to the exclusive jurisdiction of the courts located in that jurisdiction for any dispute arising under this Order.

14. ENTIRE AGREEMENT; SEVERABILITY

This Order, together with any appendices, attachments, exhibits and purchase orders incorporated by reference, constitutes the entire agreement between the Parties with respect to the subject matter hereof and supersedes all prior and contemporaneous agreements, proposals and communications. If any provision of this Order is held invalid or unenforceable, the remaining provisions shall remain in full force and effect.

15. SURVIVAL

All provisions which by their nature should survive termination or expiration of this Order shall survive, including but not limited to obligations of confidentiality, indemnification, payment for accepted goods and services, and limitation of liability.
