8. Representations and Warranties

The Client represents and warrants that the responses provided in this Questionnaire and the documents submitted are true, complete and correct to the best of the Client's knowledge, information and belief, and that the Client will promptly notify Respondent of any material change in such information.

9. Reliance; Limitations

Respondent and its counsel may rely upon the representations and information contained in this Questionnaire in providing legal advice. Respondent's advice is limited to the matters for which the Questionnaire was prepared and is conditioned upon the completeness and accuracy of the information provided.

10. Notices

Notices shall be in writing and delivered personally, by certified mail, return receipt requested, or by reputable overnight courier, and shall be effective upon receipt.

11. Amendments and Waiver

No provision of this Questionnaire may be amended or waived except by a written instrument signed by both parties. No failure or delay by either party in exercising any right shall operate as a waiver.
