RECITALS

4. TRANSFER OF TITLE AND RISK

Title Transfer: The parties acknowledge and agree that title to the distributed items is transferred to Recipient upon delivery is retained by Distributor pending full payment or other conditions
Unless otherwise expressly stated in writing, risk of loss or damage shall pass in accordance with the box checked above and, absent a checked box, shall pass upon physical delivery to Recipient.

5. ACCEPTANCE AND INSPECTION

Recipient shall have an inspection period of days from the date of delivery to inspect the items and notify Distributor in writing of any nonconformity or shortage. Failure to provide timely written notice shall constitute irrevocable acceptance of the items as delivered.

6. RETURNS AND REMEDIES

If Recipient timely notifies Distributor of defective or nonconforming items, Distributor shall, at its option, replace or repair such items or issue a credit. Return freight and restocking conditions, if any, shall be as agreed in writing. Except for Distributor's express obligations stated herein, Distributor expressly disclaims all other remedies.

7. REPRESENTATIONS; WARRANTIES

Each party represents that it has the full right, power and authority to enter into and perform this Receipt. Distributor represents that it has the right to deliver the distributed items free of any undisclosed liens or encumbrances, except as set forth in writing. Any warranties are limited to those expressly stated in this Receipt or in a contemporaneous written instrument executed by an authorized representative of Distributor.

8. INDEMNIFICATION

Each party shall indemnify, defend and hold harmless the other party from and against any third-party claims, liabilities, losses, costs and expenses (including reasonable attorneys' fees) arising from the indemnifying party's breach of this Receipt, its negligence, willful misconduct, or its failure to have or maintain any rights necessary to distribute or accept the items described herein.

9. CONFIDENTIALITY

If any distributed items include confidential information, Recipient shall maintain such information in confidence and shall not disclose it except to employees or agents with a need to know or as required by law. Confidentiality obligations shall survive termination of this Receipt for a period of three (3) years, unless a different period is agreed in writing.

10. LIMITATION OF LIABILITY

EXCEPT FOR LIABILITY ARISING FROM WILLFUL MISCONDUCT OR GROSS NEGLIGENCE, IN NO EVENT SHALL EITHER PARTY BE LIABLE TO THE OTHER FOR CONSEQUENTIAL, INCIDENTAL, SPECIAL, OR PUNITIVE DAMAGES. THE AGGREGATE LIABILITY OF EITHER PARTY ARISING FROM OR RELATING TO THIS RECEIPT SHALL NOT EXCEED THE DIRECT DAMAGES PROVEN AND ATTRIBUTABLE TO THE SPECIFIC DISTRIBUTION, PROVIDED THAT THIS LIMITATION SHALL NOT APPLY TO INDEMNIFICATION OBLIGATIONS.

11. NOTICES

All notices required or permitted under this Receipt shall be in writing and delivered to the addresses set forth below or such other address as a party may designate by notice in accordance with this section.

12. MISCELLANEOUS

Governing Law: This Receipt shall be governed by and construed in accordance with the laws of the jurisdiction specified below, without regard to conflict of law principles. Governing Jurisdiction:
