7. Indemnification

Each party shall indemnify, defend and hold harmless the other party from and against any losses, liabilities, damages, costs and expenses (including reasonable attorneys' fees) arising out of any breach of its representations, warranties or covenants contained in this Receipt.

8. Notices

All notices, requests, demands and other communications required or permitted under this Receipt shall be in writing and shall be delivered to the parties at the addresses set forth below or at such other address as either party may designate by notice to the other in accordance with this Section.

9. Amendments; Waiver

This Receipt may be amended only by a written instrument signed by both parties. No waiver of any breach or default shall be deemed a waiver of any other or subsequent breach or default.

10. Counterparts

This Receipt may be executed in counterparts, each of which will be deemed an original and all of which together shall constitute one and the same instrument. Facsimile, photocopy, or electronically transmitted signatures shall be treated as originals for all purposes.
