3. Authorization and Consent

7. Indemnification and Limitation of Liability

Requesting Party shall indemnify, defend, and hold harmless Custodian and its agents from and against any claims, liabilities, losses, costs, and expenses arising from Requesting Party's breach of this Form, improper use, or unauthorized disclosure of Records, except to the extent caused by Custodian's gross negligence or willful misconduct. Custodian's liability for any claim relating to this Form shall be limited to direct damages and shall not include consequential, incidental, or punitive damages.

8. Notices

All notices required or permitted under this Form shall be in writing and shall be delivered to the addresses set forth below. Notices shall be deemed given upon personal delivery, one business day after delivery to an overnight courier, or three business days after deposit in the U.S. mail, postage prepaid.

9. Amendments; Waiver; Counterparts

This Form may be amended only by a written instrument executed by both parties. No waiver of any provision shall be effective unless in writing and signed by the party granting the waiver.
