RECITALS

WHEREAS, Requesting Party seeks production of records, documents, data and other information maintained or controlled by Custodian that are relevant to the matters described below; and

WHEREAS, Custodian is the holder, possessor or controller of certain records and systems containing the requested materials and has the authority to produce or permit inspection of such records subject to applicable law and privilege; and

WHEREAS, the parties desire to set forth the terms, conditions and certifications governing the Requesting Party's demand for production and Custodian's obligations in response to this request.

NOW THEREFORE

In consideration of the mutual covenants contained herein and other good and valuable consideration, the sufficiency of which is acknowledged, the parties agree as follows:

1. DEFINITIONS

For the purposes of this Request, "Records" means all written, electronic, magnetic, audio, visual or other tangible forms of information, including but not limited to emails, attachments, logs, reports, contracts, invoices, databases, metadata and system backups. "Requesting Party" and "Custodian" have the meanings set forth in the opening paragraph.

2. SCOPE OF RECORDS REQUESTED

Custodian shall search for and produce Records reasonably described as follows (provide a specific, reasonably particular description). The Requesting Party understands that overly broad or unduly burdensome requests may be narrowed by Custodian in good faith.

5. FEES AND COSTS

Custodian may charge reasonable, documented costs for search, collection, processing and duplication. If estimated charges exceed , Custodian shall provide a written fee estimate and obtain prior written authorization from Requesting Party before incurring such charges.

6. PRIVILEGE, CONFIDENTIALITY AND REDACTIONS

Custodian may withhold or redact Records protected by privilege, work product or other applicable legal protections. For each withheld or redacted item Custodian shall provide a privilege log containing sufficient detail to permit a legal assessment. Redactions shall be limited to the minimum necessary and identified with the legal basis for redaction.

If Records contain personal data or sensitive information, the parties agree that Requesting Party will use such Records only for the stated purpose and will take reasonable measures to safeguard confidentiality.

7. CERTIFICATION AND AUTHORIZATION

By signing below, Requesting Party certifies under penalty of perjury that Requesting Party is the authorized party to request the Records identified herein or is legally authorized to obtain them, that the information provided in this Request is true and correct to the best of Requesting Party's knowledge, and that Requesting Party will comply with all applicable laws governing access to, transfer of, and use of the Records.

Requesting Party agrees to indemnify Custodian for any liabilities, costs or damages arising from misrepresentation of authority or improper use of produced Records, except to the extent caused by Custodian's willful misconduct.

8. TIMELINE FOR RESPONSE

Custodian shall acknowledge receipt of this Request within calendar days and shall complete production or provide a written status report, including a proposed production schedule, within calendar days, subject to reasonable extension for technical constraints or privilege review.

9. RETENTION, RETURN OR DESTRUCTION

Unless otherwise agreed, Custodian may retain copies of produced Records for its business records but will not disseminate Records other than as permitted by law. If Requesting Party requires return or certified destruction of certain Records after use, Requesting Party shall identify such Records and Custodian will follow reasonable procedures to return or destroy as agreed.

10. REMEDIES, LIMITATION OF LIABILITY

The parties agree that any dispute arising from this Request shall first be addressed via written notice and good faith meet-and-confer. Except for willful misconduct or gross negligence, neither party shall be liable to the other for punitive, consequential or incidental damages arising from compliance with this Request.

11. NOTICES

All notices required or permitted under this Request shall be in writing and delivered to the following addresses (physical or electronic) and shall be effective upon receipt.

12. AMENDMENTS; WAIVER; COUNTERPARTS

This Request may be amended only by a written instrument signed by both parties. Failure of a party to enforce any provision does not constitute a waiver of that provision. This Request may be executed in counterparts, each of which shall be an original and all of which together shall constitute one instrument.

13. ENTIRE AGREEMENT; GOVERNING LAW; SEVERABILITY

This document constitutes the entire agreement between the parties with respect to the subject matter hereof. Any prior agreements or understandings, whether written or oral, are superseded. This Request shall be governed by the substantive laws of the jurisdiction specified below. If any provision is held invalid, illegal or unenforceable, the remaining provisions shall remain in full force and effect.
