RECITALS

WHEREAS, Seller generates or holds title to Renewable Energy Certificates ("RECs") representing the environmental attributes of electrical energy generated from eligible renewable resources; and

WHEREAS, Buyer desires to purchase, and Seller desires to sell and transfer, certain RECs in accordance with the terms and conditions set forth herein; and

WHEREAS, Seller represents that Seller has the authority and legal title necessary to deliver the RECs free and clear of any liens, claims or encumbrances and to transfer all environmental attributes associated therewith.

NOW THEREFORE, in consideration of the mutual covenants and agreements contained herein, the parties agree as follows:

1. DEFINITIONS

1.1 "REC" means one renewable energy certificate or an equivalent tradable certificate representing the environmental attributes associated with one megawatt-hour (1 MWh) of electricity generated by a renewable energy resource, as recorded in the applicable Registry.

1.2 "Registry" means the tracking system identified by the parties for issuance, transfer and retirement of RECs:

2. PURCHASE AND SALE

2.1 Quantity. Seller agrees to sell and Buyer agrees to purchase the following quantity of RECs: RECs per Delivery Period, subject to the terms of this Agreement.

2.2 Price. The purchase price shall be per REC, exclusive of taxes and transfer fees (the "Price"). The total amount payable for each delivered batch shall be computed by multiplying the number of RECs delivered by the Price.

2.3 Delivery Period; Delivery Schedule. Delivery Period: . Specific delivery dates shall be mutually agreed in writing and recorded in an invoice or delivery notice.

3. DELIVERY; TRANSFER; REGISTRY

3.1 Method of Transfer. Seller shall transfer title to the RECs through the Registry by initiating a transfer to an account designated by Buyer. Account Designation: .

3.2 Delivery Confirmation. Upon transfer, Seller shall provide Buyer with a Delivery Notice containing the Registry transaction identifier(s), quantity, vintage and delivery date. Registry Transaction ID(s):

4. TITLE; WARRANTIES; REPRESENTATIONS

4.1 Title. Seller warrants that upon transfer in the Registry title to the RECs shall pass to Buyer free and clear of any liens, encumbrances, claims, options or adverse interests and that Seller has not previously sold, retired or otherwise transferred the same RECs.

4.2 Seller Representations. Seller represents and warrants that: (a) Seller has full power and authority to enter into and perform its obligations under this Agreement; (b) the RECs are valid, genuine and accurately reflected in the Registry; and (c) Seller will not take any action that would impair Buyer's rights to the RECs.

4.3 Buyer Representations. Buyer represents that Buyer has authority to enter into this Agreement and to designate the Registry account for transfer and that Buyer will accept and pay for RECs in accordance with this Agreement.

5. PAYMENT; INVOICING; TAXES

5.1 Invoice and Payment. Seller shall invoice Buyer following delivery confirmation. Payment shall be due within days of Seller's invoice. Payment method: . Payment details / remittance instructions:

5.2 Taxes. Unless otherwise agreed, Buyer is responsible for any taxes, fees or charges imposed on the transfer or purchase of the RECs, excluding taxes on Seller's income.

6. REPORTING AND AUDIT

6.1 Records. Each party shall maintain, and make available to the other upon reasonable request, records supporting its performance under this Agreement for a period of years following the date of delivery.

6.2 Audit Rights. Buyer may, at its expense, audit Seller's relevant records no more than once per Contract Year upon reasonable prior notice and during normal business hours to verify the accuracy of deliveries and transfers.

7. INDEMNITY; LIMITATION OF LIABILITY

7.1 Indemnity. Each party shall indemnify, defend and hold harmless the other party from and against any third-party claims, liabilities, losses, damages and expenses arising from a breach of such party's representations, warranties or obligations under this Agreement.

7.2 Limitation. EXCEPT FOR A PARTY'S FRAUD, WILLFUL MISCONDUCT OR INDEMNITY OBLIGATIONS, NEITHER PARTY SHALL BE LIABLE TO THE OTHER FOR CONSEQUENTIAL, INCIDENTAL, PUNITIVE OR EXEMPLARY DAMAGES. THE AGGREGATE LIABILITY OF EACH PARTY FOR DIRECT DAMAGES ARISING OUT OF THIS AGREEMENT SHALL NOT EXCEED THE TOTAL AMOUNTS PAID OR PAYABLE UNDER THIS AGREEMENT DURING THE PRIOR TWELVE (12) MONTHS.

8. FORCE MAJEURE

Neither party shall be liable for delays or failures in performance resulting from events beyond such party's reasonable control, including acts of God, wars, terrorism, strikes, natural disasters, failures of Registry systems or governmental actions; provided that the affected party gives prompt written notice and uses commercially reasonable efforts to resume performance.

9. CONFIDENTIALITY

Each party shall keep confidential all non-public commercial terms and information received from the other party in connection with this Agreement and shall not disclose such information except as required by law or pursuant to a valid order of a court or regulatory authority. Confidentiality obligations shall survive termination of this Agreement for a period of years.

10. ASSIGNMENT

Neither party may assign this Agreement or any of its rights hereunder without the prior written consent of the other party, which consent shall not be unreasonably withheld; provided that either party may assign this Agreement without consent to an affiliate or in connection with a merger, acquisition or sale of substantially all of its assets, provided the assignee assumes the assignor's obligations hereunder.

This Agreement shall be governed by and construed in accordance with the laws of the State of without regard to its conflicts of law principles. 13. ENTIRE AGREEMENT; AMENDMENT; SEVERABILITY; WAIVER; COUNTERPARTS

13.1 Entire Agreement. This Agreement, together with any delivery notices or invoices expressly incorporated herein, constitutes the entire agreement between the parties with respect to the subject matter hereof and supersedes all prior negotiations, representations or agreements, whether written or oral.

13.2 Amendment. No amendment or modification of this Agreement shall be binding unless in writing and signed by both parties.

13.3 Severability. If any provision of this Agreement is held by a court of competent jurisdiction to be invalid or unenforceable, the remaining provisions shall remain in full force and effect.

13.4 Waiver. Failure or delay by either party in exercising any right under this Agreement shall not operate as a waiver of that right unless made in writing and signed by the waiving party.

13.5 Counterparts. This Agreement may be executed in counterparts, each of which shall be deemed an original, and all of which together shall constitute one instrument. Execution and delivery of this Agreement by electronic signature shall have the same force and effect as an original signature.
