4. REPRESENTATIONS AND WARRANTIES

Each party represents and warrants that: (a) it has the full power and authority to enter into this Letter and to perform its obligations hereunder; (b) the execution and delivery of this Letter and the performance of its obligations do not and will not violate any agreement to which it is a party; and (c) the person executing this Letter on its behalf is duly authorized to do so.

5. CONFIDENTIALITY

Except as required by law, Reference shall not disclose information provided by Client that is expressly designated as confidential by Client. Reference may disclose factual information contained in this Letter to the intended recipient identified above. Client consents to limited disclosure on that basis and acknowledges that Reference may retain a copy of the Letter for its files.

6. INDEMNITY

Client agrees to indemnify, defend, and hold harmless Reference and its partners, agents, and employees from and against any and all claims, liabilities, losses, damages, costs and expenses (including reasonable attorneys' fees) arising out of or relating to the use of the reference by any third party not contemplated by this Letter or arising from Client's breach of any representation contained herein.

All notices, requests, consents and other communications required or permitted hereunder shall be in writing and shall be delivered to the addresses set forth below or to such other address as a party may designate by written notice:
