LEGAL REFERRAL CONTRACT

This Legal Referral Contract (the "Agreement") is made and entered into as of Effective Date: by and between Referring Party: with principal address: ("Referrer") and Receiving Party: with principal address: ("Recipient").

RECITALS

WHEREAS, Referrer maintains a legal practice and periodically encounters prospective clients or matters that may be better served by Recipient's practice area(s) (including but not limited to: );

WHEREAS, Recipient is duly qualified and capable of providing legal services for specified matters and is willing to accept referrals under the terms set forth herein; and

WHEREAS, the parties desire to set forth their respective duties, the fee-splitting arrangement, and procedures for handling referred matters.

NOW, THEREFORE, in consideration of the mutual promises contained herein and other good and valuable consideration, the receipt and sufficiency of which are acknowledged, the parties agree as follows.

1. DEFINITIONS

1.1 "Referred Matter" means any prospective client or legal matter about which Referrer notifies Recipient in writing and that both parties agree will be handled by Recipient under this Agreement.

1.2 "Referral Fee" means the consideration payable to Referrer in connection with a Referred Matter as set forth in Section 3.

2. SCOPE OF REFERRALS

2.1 Referrer shall identify potential Referred Matters to Recipient by delivering a written referral notice describing the client and the matter. Such notice shall include sufficient factual information for Recipient to evaluate potential conflicts and suitability.

2.2 Acceptance of a referral is within Recipient's sole discretion. Recipient shall notify Referrer in writing within days of receipt whether Recipient accepts the referral.

3. REFERRAL FEE AND PAYMENT

3.1 Fee Structure. The parties agree that the Referral Fee for any Referred Matter that results in a fee-generating engagement shall be determined as follows (select one):

Percentage of Gross Fees: Referrer shall receive percent of gross legal fees actually received by Recipient from the Referred Matter ("Referral Fee Percentage").

Flat Fee: Referrer shall receive a flat fee of payable upon final resolution or other agreed milestone.

3.2 Calculation. For percentage fees, Referral Fee shall be calculated on gross fees actually collected by Recipient, less any court-ordered refunds or client credits. Fees attributable to costs, expenses, or expert fees are excluded from the gross fees used to calculate the Referral Fee unless otherwise agreed in writing.

3.3 Payment Terms. Recipient shall remit the Referral Fee to Referrer within days after Recipient's receipt of the fee. Payment shall be made to:

4. CLIENT CONSENT; FEE SPLITTING

4.1 Client Consent. Prior to any disclosure of confidential information or sharing of fees, the parties shall obtain the informed, written consent of the client when required by applicable professional conduct rules. Obtaining such consent is an express condition precedent to the payment of any Referral Fee.

4.2 Fee Allocation. Any fee division shall comply with applicable ethical rules governing fee sharing between lawyers not of the same firm. If required, Recipient shall document the client's consent in writing and provide a copy to Referrer on request.

5. CONFLICTS OF INTEREST AND ETHICAL COMPLIANCE

5.1 Each party represents that it will comply with all applicable rules of professional conduct and will conduct conflict checks promptly on receipt of a referral. If a conflict prevents Recipient from accepting a referral, Recipient shall promptly notify Referrer.

5.2 Neither party shall undertake any action that would cause the other to violate professional obligations to a client or a disciplinary rule.

6. CONFIDENTIALITY

6.1 Except as otherwise required by law or court order, each party shall maintain the confidentiality of any client information obtained in connection with a Referred Matter and shall use such information solely for purposes of evaluating or handling the Referred Matter.

6.2 Confidential information does not include information that is publicly known or independently developed without use of the other party's confidential information.

7. TERM AND TERMINATION

7.1 Term. This Agreement shall commence on the Effective Date and continue for an initial term of year(s) and shall automatically renew for successive one-year terms unless either party provides written notice of non-renewal at least days before the end of the then-current term.

7.2 Termination. Either party may terminate this Agreement for material breach by the other party upon thirty (30) days' written notice if such breach remains uncured at the expiration of that period. Termination shall not affect obligations to account for and pay Referral Fees on matters already accepted by Recipient prior to termination.

8. INDEMNIFICATION; LIMITATION OF LIABILITY

8.1 Indemnification. Each party shall indemnify, defend and hold harmless the other party and its partners, directors, officers and employees from and against any claims, losses, liabilities or expenses (including reasonable attorneys' fees) arising out of the indemnifying party's negligence, willful misconduct, breach of this Agreement, or violation of applicable professional rules in connection with a Referred Matter.

8.2 Limitation of Liability. Except for liability arising from willful misconduct or gross negligence, neither party shall be liable to the other for consequential, incidental, or punitive damages.

9. NOTICES

All notices under this Agreement shall be in writing and delivered to the addresses set forth below (or such other address as a party designates by notice):

10. AMENDMENTS, WAIVER, SEVERABILITY

10.1 Amendments. This Agreement may be amended only by a written instrument signed by both parties.

10.2 Waiver. No waiver by either party of any breach or default shall be deemed a waiver of any other breach or default.

10.3 Severability. If any provision of this Agreement is held invalid or unenforceable, the remainder of the Agreement shall remain in full force and effect.

11. GOVERNING LAW; ENTIRE AGREEMENT

11.1 Governing Law. This Agreement shall be governed by and construed in accordance with the laws of the State of without regard to conflict of law principles.

11.2 Entire Agreement. This Agreement constitutes the entire agreement between the parties with respect to the subject matter herein and supersedes all prior and contemporaneous agreements, representations and understandings.

12. DISPUTE RESOLUTION

12.1 The parties shall first attempt in good faith to resolve any dispute arising under this Agreement through negotiation. If negotiation fails, the parties agree to attempt mediation prior to commencing litigation, unless a party seeks injunctive relief.

12.2 Choice: Mediation required before litigation. Arbitration (binding).

13. MISCELLANEOUS

13.1 Counterparts and Electronic Signatures. This Agreement may be executed in counterparts, each of which shall be deemed an original, and facsimile or electronic signatures shall be deemed original signatures for all purposes.

13.2 Relationship of Parties. The parties are independent contractors. Nothing in this Agreement creates a partnership, joint venture, employment, or agency relationship.
