RECITALS

The Registrar is ordered to record the Document in the official records maintained by the Registrar. Within three business days following receipt of this Order and payment of applicable fees, the Registrar shall:

6. NOTICES

7. FEES, COSTS AND RECORD KEEPING

Applicant shall be responsible for payment of all filing, recording and administrative fees. The Registrar shall maintain a copy of the recorded Document and the Certificate of Registration in its permanent records for the period required by law and shall make a certified copy available upon reasonable request and payment of copying fees.

8. COMPLIANCE WITH LAW

The parties acknowledge that registration and recordation under this Order are subject to all applicable statutes, regulations and administrative rules. This Order does not waive or limit any party's obligation to comply with laws governing the subject matter of the Document.

9. REPRESENTATIONS; PENALTIES

Applicant represents and warrants that the information submitted for registration is true, correct and complete to the best of Applicant's knowledge. Any material misrepresentation or deliberate falsification in connection with registration may subject the submitting party to civil or criminal penalties as permitted by law.

10. GOVERNING LAW; VENUE

This Order shall be governed by and construed in accordance with the laws of the jurisdiction in which the Registrar maintains its principal recording office as identified above, without regard to choice of law rules. Venue for any dispute arising under this Order shall lie exclusively in the courts of that jurisdiction.

11. ENTIRE AGREEMENT; SEVERABILITY

This Order constitutes the entire agreement between the parties with respect to the subject matter hereof and supersedes all prior proposals, agreements and communications, whether written or oral. If any provision of this Order is held invalid or unenforceable, such holding shall not affect the validity of the remaining provisions, which shall remain in full force and effect.

12. AMENDMENT; WAIVER; COUNTERPARTS

This Order may be amended only by a written instrument signed by both parties. No waiver of any provision shall be effective unless in writing and signed by the waiving party. This Order may be executed in counterparts, each of which shall be deemed an original and all of which together constitute one instrument.
