RECITALS

WHEREAS, Registrant seeks to register certain identifying information, rights, or records (the "Registration Items") with Registrar for official recording, administrative processing and ongoing maintenance; and

WHEREAS, Registrar maintains registration services and an administrative registry and is willing to accept and process the Registration Items upon the terms and conditions set forth herein; and

WHEREAS, the parties desire a written agreement establishing the procedures, fees, representations and obligations related to the registration and maintenance of the Registration Items.

NOW THEREFORE, in consideration of the mutual covenants and promises contained herein and other good and valuable consideration, the receipt and sufficiency of which are acknowledged, the parties agree as follows:

1. DEFINITIONS

1.1 "Registration Items" means the documents, names, numbers, marks, descriptors, or other data submitted by Registrant to Registrar for official recording or administrative recognition as set forth in Section 2 below.

1.2 "Effective Date" means the date specified above and, unless otherwise provided, the date on which Registrar completes acceptance of the Registration Items in accordance with this Packet.

3. FEES AND PAYMENT

3.1 Registrant shall pay the registration fee and any applicable service charges as provided below. Fees not received within thirty (30) days of invoice shall incur interest at the lesser of 1.5% per month or the maximum allowed by law.

4. REPRESENTATIONS AND WARRANTIES

4.1 Registrant represents and warrants that: (a) it is the lawful owner of or has the lawful authority to submit the Registration Items; (b) the Registration Items, to the best of Registrant's knowledge, do not infringe third-party rights or violate law; and (c) all information provided to Registrar is true, complete and current in all material respects.

4.2 Registrar represents and warrants that it will process, store and maintain the Registration Items in its registry in accordance with reasonable administrative practices and applicable law, provided Registrant has satisfied the fee and submission requirements herein.

5. COMPLIANCE; FILINGS

5.1 Registrant shall be solely responsible for compliance with any statutory or regulatory filing obligations arising from the registration, including payment of taxes, filing fees, or notices to governmental authorities. Registrar's obligations are administrative and do not extend to legal compliance on Registrant's behalf unless expressly agreed in writing.

6. CONFIDENTIALITY

6.1 Each party shall maintain as confidential all non-public information received from the other party in connection with this Packet, and shall not use or disclose such information except as required by law or in furtherance of the registration services herein. This obligation shall survive termination for a period of three (3) years, or longer if required by applicable law.

7. TERM AND TERMINATION

7.1 This Packet shall commence on the Effective Date and remain in full force until terminated by either party upon thirty (30) days' written notice. Termination shall not affect Registrar's right to retain fees earned or to recover fees due for services performed prior to termination.

8. RECORDS; AUDIT

8.1 Registrar shall retain records of the Registration Items and related transactions for a minimum of five (5) years following submission, subject to retention policies and applicable law. Registrant may audit Registrar's records related to Registrant's Registration Items upon reasonable advance notice and during normal business hours, subject to confidentiality protections.

9. NOTICES

9.1 All notices and communications required or permitted under this Packet shall be in writing and delivered to the addresses provided above by hand, certified mail, or reputable overnight courier, and shall be effective upon receipt.

10. AMENDMENTS; WAIVER

10.1 No amendment or waiver of any provision of this Packet shall be effective unless in writing and signed by both parties. The waiver by either party of a breach of any provision shall not operate as a waiver of any other or subsequent breach.

11. GOVERNING LAW

11.1 This Packet shall be governed by and construed in accordance with the laws of the jurisdiction specified below without regard to conflict of laws principles.

12. ENTIRE AGREEMENT

12.1 This Packet, together with any schedules or attachments executed by the parties, constitutes the entire agreement between the parties with respect to the subject matter hereof and supersedes all prior and contemporaneous agreements, representations and understandings, whether written or oral.

13. SEVERABILITY

13.1 If any provision of this Packet is held invalid or unenforceable by a court of competent jurisdiction, the remaining provisions shall remain in full force and effect and shall be construed so as to effectuate the parties' intent to the greatest extent possible.

14. COUNTERPARTS

14.1 This Packet may be executed in counterparts, each of which shall be deemed an original, and all of which together shall constitute one and the same instrument. Signatures transmitted by electronic image shall be binding as originals.

15. MISCELLANEOUS

15.1 The parties acknowledge that the remedies provided herein are cumulative and not exclusive of any remedies provided by law. Neither party shall be liable for delays or failures in performance resulting from causes beyond its reasonable control.
