LEGAL REGULATORY DOCUMENT

RECITALS

WHEREAS, the Regulated Party conducts operations and activities that are subject to certain regulatory standards and oversight requiring ongoing reporting, monitoring and corrective action to ensure compliance; and

WHEREAS, the Regulatory Representative has authority to require periodic certifications, audits, and remedial measures to verify continued compliance with applicable laws, regulations and administrative rules identified in Section 2; and

WHEREAS, the Parties desire to define their respective obligations, methods of reporting, inspection rights, corrective plans, and dispute resolution procedures in order to promote regulatory compliance and mitigate public risk.

NOW THEREFORE, in consideration of the mutual covenants and agreements contained herein, and for other good and valuable consideration, the receipt and sufficiency of which are hereby acknowledged, the Parties agree as follows:

1. DEFINITIONS

For purposes of this Agreement, the following terms shall have the meanings set forth below:

"Applicable Standards" means statutes, rules, permits, orders, administrative requirements, and binding guidance identified by the Regulatory Representative, including any specific standards listed here:

"Compliance Plan" means the written program, controls and schedules described in Section 4 that the Regulated Party will implement to achieve and maintain compliance with Applicable Standards.

2. SCOPE OF OBLIGATIONS

The Regulated Party shall comply, at its expense, with all Applicable Standards and shall perform the obligations set forth in this Agreement. Compliance obligations include, without limitation, preparation and submission of periodic certifications, maintenance of records, and correction of any noncompliance identified by the Regulatory Representative.

3. REPORTING AND CERTIFICATIONS

The Regulated Party shall submit to the Regulatory Representative periodic written reports certifying compliance with Applicable Standards at intervals of . Each certification shall be signed by an officer or authorized representative who attests under penalty of perjury to the accuracy of the facts stated.

The Regulated Party shall notify the Regulatory Representative in writing within of discovering any material breach, violation, or event that could reasonably be expected to lead to regulatory enforcement, including a description of the event and interim measures taken.

4. COMPLIANCE PLAN AND CORRECTIVE ACTION

If the Regulatory Representative identifies noncompliance, the Regulated Party shall, within the time specified in a notice or as otherwise agreed in writing, implement a Corrective Action Plan that: (a) identifies root causes; (b) sets milestones and completion dates; (c) assigns responsibility; and (d) documents verification of remedy. Failure to timely implement an approved Corrective Action Plan constitutes a material breach of this Agreement.

5. ACCESS, AUDIT AND RECORDS

The Regulated Party shall maintain complete and accurate records necessary to demonstrate compliance. Upon reasonable notice, the Regulatory Representative shall have the right to inspect facilities, records, and operations during normal business hours and to conduct audits or independent testing. Inspections and audits shall be conducted in a manner to minimize disruption to operations.

6. CONFIDENTIALITY AND PUBLICITY

Each Party shall protect Confidential Information of the other Party in accordance with commercially reasonable standards. Confidential Information does not include information that is or becomes publicly available through no fault of the receiving Party or that is required to be disclosed by law, provided the disclosing Party gives the other Party prompt notice and cooperates in any lawful effort to limit disclosure.

7. INDEMNIFICATION; LIMITATION OF LIABILITY

The Regulated Party shall indemnify, defend and hold harmless the Regulatory Representative, its officers, agents and employees from and against any third-party claims, losses, liabilities, fines, penalties and costs arising out of the Regulated Party's failure to comply with Applicable Standards or this Agreement, except to the extent caused by the gross negligence or willful misconduct of the Regulatory Representative.

Except for indemnification obligations and willful misconduct, neither Party shall be liable to the other for incidental, consequential, special or punitive damages.

8. TERM AND TERMINATION

This Agreement shall commence on the effective date set forth above and shall continue in effect until unless earlier terminated in accordance with this Section. Either Party may terminate this Agreement for material breach by the other Party that remains uncured for a period of following written notice.

All notices required or permitted under this Agreement shall be in writing and delivered to the addresses below by hand delivery, certified mail, or overnight courier:

10. AMENDMENTS; WAIVER; COUNTERPARTS

This Agreement may only be amended or modified by a written instrument executed by authorized representatives of both Parties. No failure or delay by either Party in exercising any right under this Agreement shall operate as a waiver of that right. This Agreement may be executed in counterparts, each of which shall be deemed an original and all of which together constitute one instrument.

11. GOVERNING LAW; ENTIRE AGREEMENT; SEVERABILITY

This Agreement shall be governed by and construed in accordance with the laws of the jurisdiction selected by the Parties: , exclusive of choice-of-law rules.

This Agreement constitutes the entire agreement between the Parties with respect to its subject matter and supersedes all prior oral or written agreements, understandings, and representations. If any provision of this Agreement is held invalid or unenforceable, the remaining provisions shall remain in full force and effect.

Each Party represents and warrants that it has the full power and authority to enter into and perform this Agreement and that the person signing on its behalf is authorized to do so. The obligations in this Agreement that by their nature are intended to survive termination shall so survive.
