RECITALS

2. REPRESENTATIONS AND WARRANTIES

The Reinstating Entity represents and warrants that: (a) it is duly organized under the laws of the formation jurisdiction identified above; (b) the individuals executing this Certificate on behalf of the Reinstating Entity are duly authorized to do so; (c) there are no pending actions, claims, or proceedings that would preclude reinstatement; and (d) the information provided to the Filing Agent is true, accurate, and complete in all material respects.

3. EFFECTIVE DATE

The parties agree that the Effective Date of reinstatement shall be: unless a later date is specified by the issuing filing authority.

4. CONDITIONS PRECEDENT

Reinstatement is conditioned upon receipt by the appropriate filing authority of (a) all required forms and fees, (b) documentary evidence described in the attached statements of compliance, and (c) any additional material required by statute or administrative rule. The Reinstating Entity shall promptly supply any supplemental information reasonably requested by the Filing Agent to effectuate reinstatement.

5. FEES, TAXES AND COSTS

The Reinstating Entity shall be responsible for payment of all fees, taxes, penalties, interest, and costs incurred in connection with the reinstatement. Amounts paid to effect reinstatement are non-refundable unless otherwise required by law.

6. FILING AND RECORDATION

The Filing Agent shall prepare and submit, or shall cause to be submitted, the required documents to the appropriate filing authority. The Filing Agent shall use commercially reasonable efforts to obtain a certificate of reinstatement or comparable evidence of reinstatement and shall deliver a copy of such certificate to the Reinstating Entity upon receipt.

7. NOTICES

All notices and communications required or permitted under this Certificate shall be in writing and delivered to the addresses set forth below by certified mail, hand delivery, or nationally recognized overnight courier, or by other method agreed in writing.

8. AMENDMENT, WAIVER, AND COUNTERPARTS

This Certificate may be amended only by a written instrument executed by both parties. Failure or delay by either party to exercise any right shall not operate as a waiver of that right. This Certificate may be executed in counterparts, each of which shall be deemed an original and all of which together shall constitute one and the same instrument.

9. GOVERNING LAW

This Certificate shall be governed by and construed in accordance with the laws of the Jurisdiction of Formation without regard to its conflict of law principles.

10. ENTIRE AGREEMENT; SEVERABILITY

This Certificate constitutes the entire agreement between the parties with respect to the subject matter hereof and supersedes all prior agreements and understandings relating thereto. If any provision of this Certificate is determined to be invalid or unenforceable, such determination shall not affect the validity of any other provision, which shall remain in full force and effect.
