RECITALS

WHEREAS, the Reinstated Entity was administratively dissolved, forfeited, or had its good standing revoked by the applicable governmental authority on or about ;

WHEREAS, the Reinstating Party possesses authority to seek reinstatement on behalf of the Reinstated Entity or is the party responsible for payment of requisite fees and performance of necessary filings; and

WHEREAS, the parties wish to set forth the terms and conditions under which the Reinstated Entity shall be reinstated to active status and the respective rights, obligations and conditions related thereto.

NOW, THEREFORE

In consideration of the mutual covenants and agreements contained herein, and other good and valuable consideration, the receipt and sufficiency of which are hereby acknowledged, the parties agree as follows:

1. DEFINITIONS

1.1 "Reinstatement Effective Date" means the date on which the appropriate governmental authority accepts all required filings and fees, and restores the Reinstated Entity to active status, provided that all Conditions Precedent in Section 4 have been satisfied.

2. REINSTATEMENT

2.1 Reinstating Actions. The Reinstating Party shall prepare and submit all documents, certificates, affidavits, and payments required by the applicable authority to effect reinstatement of the Reinstated Entity. The Reinstating Party shall exercise commercially reasonable efforts to cause such filings to be accepted in due course.

2.2 Cooperation. The Reinstated Entity shall, at the request of the Reinstating Party, promptly execute, deliver and cause to be delivered such additional instruments and take such further actions as may be reasonably necessary to effectuate the reinstatement.

3. REPRESENTATIONS AND WARRANTIES

3.1 By the Reinstating Party. The Reinstating Party represents and warrants that it has full power and authority to enter into this Agreement and to perform its obligations hereunder, that the execution, delivery and performance of this Agreement have been duly authorized, and that this Agreement constitutes a valid and binding obligation enforceable in accordance with its terms.

3.2 By the Reinstated Entity. The Reinstated Entity represents and warrants that, to the best of its knowledge, other than the dissolution/forfeiture described in the Recitals, there are no pending claims, actions, or proceedings that would materially impair the ability of the Reinstated Entity to resume business upon reinstatement.

4. CONDITIONS PRECEDENT

4.1 The obligations of the Reinstated Entity and the Reinstating Party to effectuate reinstatement are subject to the satisfaction of the following conditions precedent:

(a) Receipt by the Reinstating Party of all resolutions, signatures and consents required from the Reinstated Entity, its managers, members, officers or shareholders;

(b) Payment of all fees, penalties, taxes and other charges required to be paid to the relevant authority in connection with reinstatement; and

(c) No legal impediment having arisen between the date of this Agreement and the Reinstatement Effective Date that would reasonably be expected to materially prevent reinstatement.

5. PAYMENT OF FEES

5.1 Fee Responsibility. The parties agree that the following party shall be responsible for payment of all fees required for reinstatement: .

7. EFFECT OF REINSTATEMENT

7.1 Restorative Effect. To the extent permitted by applicable law, reinstatement shall be deemed to relate back to the date of dissolution or forfeiture solely for purposes as provided by the relevant statute; provided, however, that nothing in this Agreement shall revive any liability that the Reinstated Entity incurred subsequent to dissolution unless expressly assumed by the Reinstated Entity in writing.

8. NOTICES

8.1 Mode. All notices, demands or communications required or permitted under this Agreement shall be in writing and shall be delivered personally, by nationally recognized overnight courier, or by certified mail, return receipt requested, to the addresses set forth above or such other address as a party may designate by notice to the other parties.

9. AMENDMENT; WAIVER; COUNTERPARTS

9.1 This Agreement may be amended only by a written instrument signed by both parties. No waiver of any provision hereof shall be effective unless set forth in a written instrument signed by the party granting the waiver.

9.2 This Agreement may be executed in counterparts, each of which shall be deemed an original and all of which together shall constitute one and the same instrument. Signatures delivered by electronic transmission shall be effective as originals.

10. GOVERNING LAW; ENTIRE AGREEMENT; SEVERABILITY

10.1 Governing Law. This Agreement shall be governed by and construed in accordance with the laws of the jurisdiction of , without regard to its conflicts of law principles.
