What a Legal Release and Severance Agreement Is

A Legal Release and Severance Agreement is a written contract between an employer and an employee that sets out severance pay, benefits continuation, and a release of claims in exchange for specified consideration. It typically identifies parties, effective date, severance amount, confidentiality and non-disparagement terms, return-of-property obligations, and any continuing obligations or restrictive covenants. These agreements may include express waivers of federal or state employment claims and often contain execution details such as signature blocks, revocation periods where required, and governing law clauses to clarify enforceability.

Why employers and employees use this agreement

Provides a predictable separation process, defines compensation and benefits after termination, and reduces litigation risk through an exchange of consideration for legal release.

Why employers and employees use this agreement

Typical users and stakeholders

Who commonly completes or signs these agreements and why.

  • Former employees seeking clear severance terms and post-employment obligations in writing.
  • HR professionals and in-house counsel documenting voluntary separations, layoffs, or negotiated exits.
  • Outside counsel and employment lawyers preparing enforceable language and verifying statutory compliance.

Each participant has distinct responsibilities: employers prepare the offer, employees review terms, and counsel ensures legal compliance.

Key signers and their roles

Employee

The individual leaving employment who must review the offered consideration, confirm understanding of the release language, and sign the agreement. If age discrimination waivers apply, the employee should be informed of the revocation window and advised to consult counsel before signing.

Employer Representative

Typically an HR leader or authorized company officer who issues the agreement, confirms consideration, and signs on the employer’s behalf. The representative ensures required disclosures, timing, and any witness or notary steps are completed per company policy and applicable law.

Core provisions every professional severance agreement should include

A complete agreement balances clarity for both parties and legal protections for the employer while ensuring enforceability for the employee.

Release Clause

A clear waiver of specified employment claims with precise scope and exceptions, drafted to avoid overbroad language that courts may find unenforceable.

Severance Pay

Exact dollar amounts, payment timing, and tax withholding instructions. State wage laws and tax reporting obligations should be anticipated.

Confidentiality

Limits on disclosure of agreement terms and company information; differentiate between confidentiality of the settlement amount and broader trade-secret protections.

Non-Disparagement

Mutual or one-way language prohibiting derogatory statements; include definitions and carve-outs for protected legal statements.

Return of Property

Employee obligations to return devices, files, credentials, and proprietary information with timelines and remediation for noncompliance.

Governing Law

State law that will govern interpretation and venue for disputes; select a jurisdiction consistent with company exposure and applicable statutes.

Step-by-step: completing the agreement

Follow a consistent sequence to prepare, review, execute, and retain the executed severance agreement.

  • 01
Prepare draft: Employer drafts terms and confirms consideration.
  • 02
Legal review: Counsel checks waiver scope and statutory compliance.
  • 03
Deliver to employee: Provide agreement and disclosures in readable format.
  • 04
Execute and retain: Collect signatures, allow revocation where required, and store the final document.

Configuring an online signing workflow

Set up a digital workflow that matches the agreement’s signing order, authentication needs, and retention policy.

Field Configuration
Authentication Email link or SMS code; use stronger methods for high-risk signings
Signing Order Sequential or parallel depending on whether employer signature must precede employee signature
Conditional Fields Show payment details only after selection of cash severance
Notifications Automatic reminders and completion emails for parties and HR

Typical e-signature flow for the agreement

A standard electronic workflow streamlines execution while preserving audit details required for enforceability.

  • Upload document: Add the signed PDF or template to the eSignature platform
  • Place fields: Insert signature, date, and initial fields where required
  • Send to signer: Deliver via secure email link or authenticated portal
  • Capture audit: Record IP, timestamp, and method for the certificate of completion

Technical and platform considerations for e-execution

Confirm the platform supports strong authentication, audit trails, and secure storage before e-signing sensitive agreements.

  • File formats: PDF and DOCX supported
  • Integrations: CRM and HR systems such as NetSuite and Microsoft 365
  • Security: TLS and AES-256 encryption

Ensure the chosen solution provides an audit trail, retention controls, and any needed BAA or regulatory attestation before proceeding.

Common penalties and legal risks

ADEA Noncompliance: Loss of enforceability for age waivers
Unenforceable Waiver: Courts may void overly broad releases
Tax Reporting: Incorrect withholding or reporting penalties
I-9 Issues: Employment verification lapses risk fines
State Claims: State labor statutes may supersede waivers
Breach Litigation: Costs for litigating ambiguous terms

Frequent preparation mistakes to avoid

  • Using vague consideration language such as 'adequate severance' without a precise dollar amount or schedule.
  • Failing to include required ADEA disclosures and revocation period when the employee is age 40 or older.
  • Neglecting to align signature names with government ID or payroll records, complicating tax reporting and enforcement.
  • Relying on weak authentication for electronic signatures in higher-risk matters without additional verification or audit evidence.

Practical tips for accurate and efficient agreements

Follow these practices to reduce ambiguity and legal exposure while keeping the separation process efficient.

Use plain, precise language
Draft clear terms for severance amounts, timelines, and what claims are released. Avoid legalese that may confuse signers.
Address age discrimination waivers separately
Provide required ADEA disclosures and revocation periods in a distinct section to preserve enforceability for employees age 40+.
Document consideration carefully
Show specific payments and benefit continuation dates. Tie each payment to a timeline to avoid payment disputes.
Maintain an audit trail
Record each communication, signature event, and authentication method to support enforceability if challenged.

Real-world scenarios where severance agreements apply

Different employers use severance agreements for voluntary separations, layoffs, and structured exits to reduce litigation risk.

Small Business Separation

An employer offers a lump-sum severance to a departing manager to avoid litigation risks

  • Employer includes confidentiality and return-of-property terms
  • The documented exchange clarifies obligations and reduces the chance of a disputed claim after termination.

Group Layoff Package

A company provides a standard agreement to laid-off employees with identical severance terms

  • Agreements include a short review period and revocation window where applicable
  • Uniform documentation and electronic execution speed distribution and ensure consistent records for future audits.
