LEGAL RELEASE CONSENT FORM

This Release and Consent Agreement ("Agreement") is entered into as of Effective Date: by and between Releasor Name: (hereinafter "Releasor") and Releasee Name: (hereinafter "Releasee").

NOW THEREFORE, in consideration of the mutual promises contained herein and other good and valuable consideration, the receipt and sufficiency of which are hereby acknowledged, the parties agree as follows:

1. Definitions

For purposes of this Agreement: "Claims" means any and all actions, causes of action, suits, liabilities, demands, losses, expenses, costs, or damages, whether known or unknown, suspected or unsuspected, at law or in equity, including without limitation claims for personal injury, invasion of privacy, defamation, or violation of any statutory rights.

2. Release and Waiver

Releasor, on behalf of Releasor and Releasor's heirs, executors, administrators, successors and assigns, hereby fully and forever releases, waives, discharges and covenants not to sue Releasee and Releasee's affiliates, agents, employees, contractors, licensees, successors and assigns (collectively "Released Parties") from any and all Claims arising out of or related to the activity described above, including but not limited to any Claims arising from the use, reproduction, distribution, broadcast, modification or public display of Releasor's name, likeness, voice, appearance, performance, and recorded materials.

3. Scope of Consent

Releasor grants Releasee the perpetual, worldwide, royalty-free right and license to use, reproduce, publish, distribute, adapt, exhibit and otherwise exploit Releasor's name, likeness, voice, image, performance and recordings in any media now known or hereafter developed for any lawful purpose, including advertising, promotion, editorial use and commercial exploitation.

Releasor represents and warrants that Releasor is the legal owner of all rights granted herein or has obtained all necessary permissions; that Releasor is of legal age and has full right and authority to enter into this Agreement, unless otherwise indicated below; and that Releasor's execution of this Agreement does not violate any other agreement to which Releasor is a party.

6. Confidentiality and Restriction

Except as required by law or as necessary to exercise rights granted herein, Releasee shall use reasonable efforts to guard any confidential information provided by Releasor. 7. Indemnification

Releasor agrees to indemnify, defend and hold harmless the Released Parties from and against any and all losses, claims, damages, liabilities and expenses (including reasonable attorneys' fees) arising out of any breach of Releasor's representations, warranties or covenants contained in this Agreement or any third-party claim related to Releasor's actions or materials.

8. Limitation of Liability

Except for willful misconduct or gross negligence, in no event shall Releasee be liable to Releasor for consequential, incidental, special or punitive damages arising under or in connection with this Agreement, even if advised of the possibility of such damages. Releasee's aggregate liability shall not exceed the amount of consideration paid to Releasor under this Agreement.

Notices shall be in writing and shall be deemed given when delivered personally, by nationally recognized overnight courier, or by certified mail, return receipt requested, to the addresses provided above or to such other address as either party may designate in writing.

10. Governing Law

This Agreement shall be governed by and construed in accordance with the laws of the State of without regard to conflict of laws principles. The parties hereby consent to exclusive jurisdiction and venue in the state and federal courts located in that state.

11. Entire Agreement; Severability

This Agreement constitutes the entire agreement between the parties concerning the subject matter hereof and supersedes all prior and contemporaneous agreements and understandings, whether written or oral. If any provision of this Agreement is determined to be invalid, illegal or unenforceable, such provision shall be severed and the remaining provisions shall remain in full force and effect.

12. Amendments; Waiver; Counterparts

No amendment, modification or waiver of any provision of this Agreement shall be effective unless in writing and signed by both parties. Failure to enforce any provision of this Agreement shall not constitute a waiver of future enforcement of that or any other provision. This Agreement may be executed in counterparts, each of which shall be deemed an original and all of which together shall constitute one instrument. Signatures transmitted by electronic means shall be effective as originals.

Acknowledgment

Releasor acknowledges that Releasor has read this Agreement, understands its terms, and is executing it voluntarily and with full knowledge of its legal effect. Releasor further acknowledges that Releasor has had the opportunity to seek independent legal advice prior to signing.
