What a Legal Release from Covenants Is and Why It Matters

A Legal Release from Covenants is a signed instrument that removes, modifies, or suspends restrictive covenants tied to real property, such as homeowners association rules, deed restrictions, or easements. It identifies the parties, describes the specific covenant being released, and states the effective date and consideration, if any. When executed and recorded according to local requirements, the release clarifies title, permits alternative land uses, and prevents future enforcement of the released restriction against subsequent owners. Electronic execution and recording are often allowed when state law and local recording offices permit.

Why Use a Release from Covenants

A clear release preserves marketable title, resolves disputes over permitted uses, and documents lender or HOA consent where required. It provides a formal record that the covenant no longer binds the property or has been altered in a specific way.

Why Use a Release from Covenants

Typical Parties and Professionals Involved

Several stakeholders normally prepare, review, or sign a release to ensure proper legal effect and recording.

  • Property owners and grantors who request or benefit from removal of restrictions, such as sellers or developers.
  • Title companies and settlement agents who verify chain of title and accept releases for recording.
  • Lenders, homeowners associations, or governmental entities that must consent or provide acknowledgements.

Coordinate signatures, notarization, and recording to avoid title defects and ensure enforceability.

Representative Signers and Roles

Owner / Grantor

The individual or entity owning the property who executes the release. They must sign using the exact legal name on title and may need corporate or trustee authorization when applicable.

Title Officer / Recorder

Title companies and county recording officers review the signed release for form and acceptance. Their review ensures the instrument will be indexed correctly against the property.

Security and Compliance Considerations

Encryption: TLS 1.2/1.3 in transit; AES-256 at rest
Audit Trail: Timestamp, IP, and signer attribution
HIPAA / BAA: BAA available when health data present
Regulatory Support: ESIGN and UETA compliance
System Certification: SOC 2 Type II and ISO 27001
FDA / 21 CFR: 21 CFR Part 11 support available

Common Preparation Pitfalls

  • Using incomplete legal descriptions that fail to identify the correct property parcel.
  • Failing to obtain required lender or HOA consent before executing the release.
  • Mismatched signer names versus recorded title for owner or grantor.
  • Omitting recording or submitting incorrect fee/payment to county recorder.

Risks If a Release Is Defective

Clouded Title: Release may not eliminate the recorded restriction
Void or Voidable Release: Improper execution may render document unenforceable
Liability Claims: Third parties may sue for improper release
Recording Rejection: Recorder may refuse unacceptable form or fee
Delays to Closing: Incomplete release can postpone transactions
Additional Costs: Corrective filings and attorney fees may apply

Real-World Examples of Releases in Practice

Two practical examples show how releases resolve title issues and speed transactions while protecting parties' rights.

Martin Properties (Residential Portfolio)

A developer needed to remove an outdated use restriction to market lots

  • The team obtained HOA and lender consents within two weeks
  • The recorded release cleared title for resale, enabling faster closings and removing a barrier to sale while preserving public record of the change.

Optica Ventures (Mixed-Use Redevelopment)

An investor required a covenant release to change permitted commercial uses

  • Title reviewed chain of title and identified prior releases needed
  • Coordinated execution, notarization, and recording ensured the release indexed correctly and reduced lender objections at funding.

Step-by-Step: How to Complete a Release from Covenants

Follow these core steps to prepare, execute, and record a legally effective release.

  • 01
Draft the Instrument: Identify parties, covenant text, and property legal description
  • 02
Obtain Required Consents: Secure lender, HOA, or municipal approvals as applicable
  • 03
Execute with Formalities: Sign, date, and notarize per state rules
  • 04
Record and Index: Submit to county recorder with correct fee

Typical Execution and Recording Workflow

A release follows an ordered workflow from creation through public record; each step affects enforceability and title clarity.

  • Prepare Document: Drafted by owner or counsel with legal description
  • Consent & Approval: Signatures from required parties obtained
  • Notarization: Notary acknowledgment executed where required
  • Recording: Instrument recorded and returned to parties

Essential Components of a Professional Release

A complete release includes specific elements that ensure clarity, enforceability, and proper indexing by the recorder's office.

Parties Named

Full legal names of grantor(s) and grantee(s) and any capacity (trustee, corporate officer) so responsibilities and authority are clear.

Property Description

A precise legal description or parcel identifier matching recorded deed to ensure the release attaches to the correct real property.

Covenant Identification

Citation of the original instrument and recorded book/page or document number describing the covenant being released or modified.

Consideration Statement

Description of consideration or statement of release being gratuitous; helps establish contractual intent and enforceability.

Execution Block

Signature lines, printed names, titles for signers, and spaces for notary acknowledgement or witness signatures when required.

Recording Instructions

Instructions for clerk including jurisdiction, return address, and required recording fee details to ensure proper indexing.

How to Configure an Online Release Workflow

Set up fields and signer routing in an eSignature platform to match legal execution requirements and county recording expectations.

Field Configuration
Signature Field Assigned to owner; requires date alongside signature
Notary Block Add notary acknowledgement area as required by state
Witness Fields Include witness signature lines where state requires them
Return Address Add recording return instructions for clerk

Digital Delivery and Format Needs

Choose formats and integrations that align with recorder and title company preferences.

  • File Formats: PDF/A or flattened PDF
  • Integrations: Salesforce, NetSuite, Microsoft 365 supported
  • Authentication: Email, SMS code, or KBA

Ensure generated PDFs include embedded metadata and a complete audit trail so record copies and title searches are unambiguous.

Timing and Recording Considerations

Timely execution and recording protect priority rights and avoid disputes; local recorder processing times vary widely.

Record Promptly:

Record as soon as possible to establish priority against third parties

Lender Review Window:

Allow lender review and consent time before closing

County Processing:

Processing may take days to weeks depending on county

Notary Retention:

Notary may keep a journal entry per state rules

Document Versions:

Retain final recorded copy for title and closing files
