LEGAL RELEASE OF FILE

This Legal Release of File (the Agreement) is made effective as of by and between Releasing Party: with address , and Receiving Party: with address .

RECITALS

WHEREAS, Releasing Party is the custodian of a client file and related materials described below (the File) that were generated in the course of professional services; and

WHEREAS, Receiving Party has requested release and/or transfer of the File, and Releasing Party is willing to release the File upon the terms and conditions set forth in this Agreement; and

WHEREAS, the parties desire to set forth their respective rights, obligations and limitations with respect to the release, transfer, and handling of the File.

NOW, THEREFORE, in consideration of the mutual covenants contained herein, and other good and valuable consideration, the receipt and sufficiency of which are hereby acknowledged, the parties agree as follows:

1. DEFINITIONS

1.1 "File" means all papers, electronic files, physical documents, pleadings, correspondence, exhibits, drafts, notes, billing records, and other materials pertaining to the matters identified by the parties and described in the File Description field below.

2. AUTHORIZATION TO RELEASE

2.1 Releasing Party hereby authorizes and instructs the custodian to release, deliver, or transfer the File to Receiving Party or Receiving Party's authorized representative subject to the terms of this Agreement. Authorization to release shall be limited to the File described above unless additional materials are identified in writing and signed by both parties.

2.2 Release shall be effective on the Release Date: , or upon such earlier date as the Custodian effectuates delivery in accordance with this Agreement.

3. SCOPE OF RELEASE; PRIVILEGE

3.1 The parties acknowledge that certain portions of the File may contain privileged, confidential, or third-party information. Releasing Party will not disclose materials protected by statute or court order unless (a) the protected material is specifically authorized in writing by the client or lawful owner, or (b) the protection is expressly waived as set forth in Section 3.2.

3.2 Waiver of Privilege: By checking the box below and initialing where required, the party authorizing release expressly waives any claim of attorney-client privilege or work-product protection for the items specifically identified, solely to the extent necessary to effectuate the release.

6.2 Receiving Party represents that it is authorized to receive the File and will comply with any confidentiality obligations applicable to the materials received.

7. INDEMNIFICATION

7.1 Receiving Party shall indemnify, defend, and hold harmless Releasing Party and its agents, employees, and affiliates from and against any and all claims, liabilities, losses, damages, costs and expenses (including reasonable attorneys' fees) arising out of or resulting from Receiving Party's possession, use, disclosure or distribution of the File following release, except to the extent caused by Releasing Party's willful misconduct.

8. LIMITATION OF LIABILITY

8.1 Except for liability arising from willful misconduct or gross negligence, in no event shall either party be liable to the other for consequential, incidental, special, or punitive damages arising from the release, delivery, or use of the File.

9. NOTICES

9.1 All notices, requests, demands and other communications required or permitted hereunder shall be in writing and sent to the addresses provided below. Notices are effective upon receipt.

10. GOVERNING LAW; VENUE

10.1 This Agreement shall be governed by and construed in accordance with the laws of the State of without regard to its conflict of laws principles. The parties consent to exclusive jurisdiction and venue in the courts located in that State.

11. ENTIRE AGREEMENT; SEVERABILITY

11.1 This Agreement constitutes the entire agreement between the parties with respect to the subject matter hereof and supersedes all prior negotiations, understandings and agreements.

11.2 If any provision of this Agreement is held invalid or unenforceable by a court of competent jurisdiction, the remaining provisions shall remain in full force and effect.

12. AMENDMENT; WAIVER; COUNTERPARTS

12.1 This Agreement may be amended only by a writing signed by both parties. No waiver of any breach shall constitute a waiver of any subsequent breach.
