LEGAL RELEASE OF LIKENESS

1. GRANT OF RIGHTS

1.1 Grant. Releasor hereby irrevocably grants to Releasee, its licensees, successors and assigns, the perpetual, worldwide, royalty-free, transferable, sublicensable right and license to record, reproduce, edit, publish, distribute, transmit, display, create derivative works of, and otherwise use the Likeness in any and all media now known or hereafter devised for any lawful purpose including advertising, promotion, marketing, distribution, and archival purposes (the "Licensed Uses").

1.2 Uses Covered. The Licensed Uses include, without limitation, use in motion pictures, television, digital platforms, still photography, print publications, social media, advertising, trailers, promotional materials, merchandise, and other commercial materials.

Releasor represents and warrants that Releasor is over the age of majority, has the full right and authority to enter into this Release, that the execution and performance of this Release does not violate any other agreement, and that no further consents or approvals are required from any third party. 4. WAIVER OF MORAL RIGHTS

Releasor hereby irrevocably waives, to the fullest extent permitted by law, any moral rights or rights of attribution or integrity in the Likeness and any derivative works created therefrom, including the right to object to or prevent any alterations, distortions or other modifications to the Likeness.

5. RELEASE AND COVENANT

Releasor releases and discharges Releasee and its agents, employees, licensees, successors and assigns from any and all claims, demands, causes of action, damages or liabilities, whether known or unknown, arising out of or in connection with the use of the Likeness as permitted by this Release, including but not limited to claims for invasion of privacy, defamation, or misappropriation of likeness.

Releasor shall indemnify, defend and hold harmless Releasee from and against any third-party claims, liabilities, losses, expenses or damages (including reasonable attorneys' fees) resulting from any breach of the representations and warranties contained in this Release or any claim that Releasor lacked the authority to grant the rights herein.

7. TERM, TERRITORY AND ASSIGNMENT

7.1 Term. The rights granted hereunder are perpetual unless otherwise agreed in writing by the parties.

7.2 Territory. The license granted in this Release is worldwide.

7.3 Assignment. Releasee may assign, transfer or sublicense the rights granted herein in whole or in part without further consent from Releasor.

9. NOTICES

10. AMENDMENTS; WAIVER; COUNTERPARTS

This Release may be amended only by a written instrument signed by both parties. No waiver of any breach shall be effective unless in writing and signed by the waiving party. This Release may be executed in counterparts, each of which shall be deemed an original, and all of which together shall constitute one and the same instrument.

11. GOVERNING LAW; VENUE

This Release shall be governed by and construed in accordance with the laws of the state or jurisdiction identified below without regard to its conflicts of law principles. The parties consent to the exclusive jurisdiction of the state and federal courts located in that jurisdiction for any dispute arising out of or relating to this Release.

12. ENTIRE AGREEMENT; SEVERABILITY

This Release constitutes the entire agreement between the parties with respect to the subject matter hereof and supersedes all prior negotiations, understandings and agreements. If any provision of this Release is held invalid or unenforceable, the remaining provisions shall remain in full force and effect and the invalid or unenforceable provision shall be reformed to achieve as nearly as possible the parties' original intent.
