LEGAL RELEASE PACKET

This Release Agreement (the Agreement) is made and entered into as of Day: Month: Year: by and between Releasor Name: of Address: (hereinafter referred to as "Releasor"), and Releasee Name: of Address: (hereinafter referred to as "Releasee").

RECITALS

WHEREAS, Releasor asserts certain claims, demands, causes of action or liabilities arising out of or related to the matters described as:

WHEREAS, Releasee denies any liability but is willing to provide consideration to resolve and avoid the expense, distraction and uncertainty of litigation or other dispute resolution procedures; and

WHEREAS, the parties desire to settle fully and finally all such claims on the terms and conditions set forth in this Agreement.

NOW, THEREFORE, in consideration of the mutual covenants, agreements and payments set forth herein and other good and valuable consideration, the sufficiency of which is hereby acknowledged, the parties agree as follows:

1. DEFINITIONS

For purposes of this Agreement, "Claims" means any and all manner of actions, causes of action, suits, debts, dues, sums of money, accounts, reckonings, bonds, bills, specialties, covenants, contracts, controversies, agreements, promises, variances, trespasses, damages, judgments, executions, and demands whatsoever, whether known or unknown, suspected or unsuspected, foreseen or unforeseen, in law or in equity, that Releasor had, has, or may claim to have against Releasee up to and including the Effective Date related to the matters described above.

2. RELEASE AND COVENANT NOT TO SUE

Upon receipt of the consideration described in Section 3, Releasor, on behalf of Releasor and Releasor's heirs, executors, administrators, successors and assigns, hereby absolutely and forever releases and discharges Releasee, and Releasee's past and present parents, subsidiaries, affiliates, officers, directors, employees, agents and insurers (collectively, the Released Parties), from any and all Claims arising before or on the Effective Date. This release includes claims both known and unknown, and Releasor expressly waives any rights under any statute or common law provision limiting the release of unknown claims.

4. NO ADMISSION OF LIABILITY

The parties acknowledge and agree that neither this Agreement nor the furnishing of consideration shall be construed as an admission of liability, wrongdoing or unlawful conduct by Releasee, all of which are expressly denied.

5. CONFIDENTIALITY AND NON-DISPARAGEMENT

Except as required by law or as necessary to enforce this Agreement, the parties agree to keep the terms and existence of this Agreement confidential. Releasor further agrees not to make any statements, directly or indirectly, that disparage Releasee or its officers, directors, employees or agents.

Exceptions to confidentiality: disclosures to legal counsel, tax advisors, or as required by a court order are permitted, provided reasonable advance notice is given to the other party when lawful and practicable.

6. MUTUAL RELEASE OPTION

7. REPRESENTATIONS AND WARRANTIES

Each party represents and warrants that it has full authority to enter into this Agreement, that the person signing on behalf of each party is authorized to do so, and that the Agreement is binding and enforceable in accordance with its terms. Releasor further represents that Releasor has not assigned or transferred any Claim released herein to any third party.

8. INDEMNIFICATION

Each party shall indemnify and hold harmless the other party from and against any losses, liabilities, costs and expenses (including reasonable attorneys' fees) arising from any breach of the representations, warranties or covenants contained in this Agreement.

The parties acknowledge that they are solely responsible for any tax consequences relating to the consideration. Allocation of payment for tax reporting purposes:

Notices shall be in writing and delivered in person, by certified mail (return receipt requested), or by nationally recognized overnight courier to the addresses set forth above and shall be deemed given upon receipt.

11. AMENDMENT; WAIVER; COUNTERPARTS

This Agreement may not be amended or modified except by a writing signed by both parties. No waiver of any provision hereof shall be effective unless in writing signed by the party against whom enforcement is sought. This Agreement may be executed in counterparts, each of which shall be deemed an original and all of which together shall constitute one and the same instrument.

12. GOVERNING LAW; ENTIRE AGREEMENT; SEVERABILITY

This Agreement shall be governed by and construed in accordance with the laws of the State of without regard to conflict of law principles. This Agreement contains the entire agreement between the parties with respect to the subject matter hereof and supersedes all prior agreements and understandings, written or oral. If any provision of this Agreement is determined to be invalid, illegal or unenforceable, such provision shall be severed and the remainder of the Agreement shall continue in full force and effect.

13. ACKNOWLEDGMENTS

Releasor acknowledges that Releasor has read and understands this Agreement, that Releasor has had the opportunity to consult with independent legal counsel, and that Releasor signs this Agreement voluntarily and without duress.
